Share Subscription. (a) The Principal Shareholders shall cause to be passed at a duly convened Shareholders' meeting and/or Board meeting of the Company any resolutions necessary to give effect to [the arrangements in Schedule 2] [OR that share capital reorganisation]; and (b) Each Shareholder shall acquire, by subscription and/or transfer, such number and class of Shares so that it holds the number and class of Shares set opposite its name in Schedule 2 by the following subscriptions and/or transfers:
