Soft Launch. The Parties have agreed that ▇▇▇ shall initiate a soft launch (“Soft Launch”) in the EU, subject to the following terms and conditions: (a) KTI shall ensure that all necessary development documentation for the First Licensed Product, including the three-panel LED lamp (KT-D lamp) is updated and complies with EU regulations, and that all products have obtained a ▇▇-▇▇▇▇ with no restrictions associated herewith; (b) KTI shall support ▇▇▇ as needed for transfer of development documentation and any other KTI Know How controlled by KTI as well as transfer all necessary documentation to support any and all filings for Regulatory Approvals necessary including such necessary documentation needed for ▇▇▇ to obtain a ▇▇-▇▇▇▇ for such First Licensed Products with a ▇▇▇ Trade ▇▇▇▇, or such other authorization as is deemed necessary for ▇▇▇ to legally commence sales of such First Licensed Products in the EU; (c) KTI shall use commercially reasonable efforts to ensure that contract manufacturers agreed upon between ▇▇▇ and KTI will be able to produce such necessary active gels and Lumi-Derm lamps as is deemed necessary by ▇▇▇ to commence the Soft Launch, and shall support ▇▇▇ in ensuring the supply contracts necessary, any necessary specifications to be established together with such contract manufacturer as well as any necessary quality agreements and other approvals needed; (d) KTI shall assist ▇▇▇ in developing and reviewing all marketing and campaign material deemed necessary for initiation of the Soft Launch; (e) ▇▇▇ shall provide an overview of its plans for the Soft Launch at the first JSC meeting in 2014; and (f) ▇▇▇ shall within [***] from obtaining the required ▇▇-▇▇▇▇ or from receiving at least the first order of the First Licensed Products to inventory in Europe, whichever is later, proceed with the Soft Launch in select dermatology clinics in at least [***] of the [***] EU countries [***].
Soft Launch. In order to optimize the ICP Internet Site for distribution hereunder as specified in Section 5, beginning on the Soft Launch Date and continuing for a period of thirty (30) days thereafter, AOL shall make the ICP Internet Site available for distribution on a limited basis to AOL internal and employee accounts (or such other group that is a subset of all AOL Members, as AOL may determine in its discretion).
Soft Launch. Notwithstanding anything to the contrary contained in Clause 14 the Concessionaire shall with prior notice demonstrate the entire operation inter alia subscription process, transaction at the Terminal, working of the Service System, working of the MobilityCard System. The Soft Launch shall be a promotional activity. The Soft Launch shall be a mandatory even for the Concessionaire to avail the Completion Certificate.

  • Commercialization Plan On a Product by Product basis, not later than sixty (60) days after the filing of the first application for Regulatory Approval of a Product in the Copromotion Territory, the MSC shall prepare and approve a rolling multiyear (not less than three (3) years) plan for Commercializing such Product in the Copromotion Territory (the "Copromotion Territory Commercialization Plan"), which plan includes a comprehensive market development, marketing, sales, supply and distribution strategy for such Product in the Copromotion Territory. The Copromotion Territory Commercialization Plan shall be updated by the MSC at least once each calendar year such that it addresses no less than the three (3) upcoming years. Not later than thirty (30) days after the filing of the first application for Regulatory Approval of a Product in the Copromotion Territory and thereafter on or before September 30 of each calendar year, the MSC shall prepare an annual commercialization plan and budget (the "Annual Commercialization Plan and Budget"), which plan is based on the then current Copromotion Territory Commercialization Plan and includes a comprehensive market development, marketing, sales, supply and distribution strategy, including an overall budget for anticipated marketing, promotion and sales efforts in the upcoming calendar year (the first such Annual Development Plan and Budget shall cover the remainder of the calendar year in which such Product is anticipated to be approved plus the first full calendar year thereafter). The Annual Commercialization Plan and Budget will specify which Target Markets and distribution channels each Party shall devote its respective Promotion efforts towards, the personnel and other resources to be devoted by each Party to such efforts, the number and positioning of Details to be performed by each Party, as well as market and sales forecasts and related operating expenses, for the Product in each country of the Copromotion Territory, and budgets for projected Pre-Marketing Expenses, Sales and Marketing Expenses and Post-Approval Research and Regulatory Expenses. In preparing and updating the Copromotion Territory Commercialization Plan and each Annual Commercialization Plan and Budget, the MSC will take into consideration factors such as market conditions, regulatory issues and competition.

  • Synchronization, Commissioning and Commercial Operation 5.1.1 The SPG shall give PGVCL at least thirty (30) days’ advanced preliminary written notice and at least fifteen (15) days’ advanced final written notice, of the date on which it intends to synchronize the Solar Power Project to the Grid System. 5.1.2 Subject to Article 5.1.1, the Power Project may be synchronized by the SPG to the Grid System when it meets all the connection conditions prescribed in applicable Grid Code then in effect and otherwise meets all other Indian legal requirements for synchronization to the Grid System. 5.1.3 The synchronization equipment and all necessary arrangements / equipment including RTU for scheduling of power generated from the Project and transmission of data to the concerned authority as per applicable regulation shall be installed by the SPG at its generation facility of the Power Project at its own cost. The SPG shall synchronize its system with the Grid System only after the approval of synchronization scheme is granted by the head of the concerned substation/ and checking/verification is made by the concerned authorities of the PGVCL. 5.1.4 The SPG shall immediately after each synchronization/tripping of generator, inform the sub-station of the Grid System to which the Power Project is electrically connected in accordance with applicable Grid Code. In addition, the SPG will inject in-firm power to grid from time to time to carry out operational/ functional test prior to commercial operation. For avoidance of doubt, it is clarified that Synchronization / Connectivity of the Project with the grid shall not to be considered as Commissioning of the Project. 5.1.5 The SPG shall commission the Project within nine (9) Months from the Date of execution of this PPA. Declaration of COD shall be certified by the commissioning committee. 5.1.6 The Parties agree that for the purpose of commencement of the supply of electricity by SPG to PGVCL, liquidated damages for delay etc., the Scheduled Commissioning Date as defined in this Agreement shall be the relevant date.

  • Development Phase contractual phase initiated with the approval of ANP for the Development Plan and which is extended during the Production Phase while investments in ▇▇▇▇▇, equipment, and facilities for the Production of Oil and Gas according to the Best Practices of the Oil Industry are required.

  • Program Changes Contractor agrees to inform the County of any alteration in program or service delivery at least thirty (30) days prior to the implementation of the change, or as soon as reasonably feasible.
