Common use of SOFTWARE ORDERS Clause in Contracts

SOFTWARE ORDERS. All initial Orders under DIR Contract No. DIR-TSO-4381 for SailPoint Software shall be issued directly to Partner. Customers shall not place orders directly with SailPoint, this agreement is valid under DIR contract with Partner. Any future order will be placed through DIR Contract Partner shall be in writing and identify the Software being ordered, the shipping and invoicing locations, and shall be subject to mutual agreement between Customer, Partner and SailPoint. Standard or printed terms contained in any Customer purchase order or sales confirmation are deemed rejected and mere commencement of work or payment against such forms shall not be deemed acceptance of the terms.
