Software Upgrades and Updates. Philips will provide software updates and upgrades consisting of revisions to, and new versions of, software for existing applications. Third party software including, but not limited to operating system licenses, database software licenses, client access licenses, and anti-virus software is not included. Hardware updates and upgrades are not included. Customer has no right to updates and upgrades that are released before the start date of the Agreement. Also, if Customer has an IntelliSpace Basic service agreement, they are only entitled to every other major software release upgrade. If the Agreement expires after Philips notifies Customer that an update or upgrade is available, then Customer is entitled to receive the offered update or upgrade for three (3) month following such termination.

Software Upgrades and Updates. NetRefer may, at its sole discretion, release a Software Upgrade and/or Update during the Agreement Term, at which time the former version of the Software will stand deprecated and become the deprecated version of the Software (hereinafter: "Deprecated Version"). For a period of six months following the deprecation (hereinafter: "Deprecation Period"), and provided it is still during the Agreement Term, NetRefer will use commercially reasonable efforts to support the Deprecated Version. Software Upgrades and Updates. During the term of the Agreement, the system is eligible for any upgrades or updates released for that model by DuVoice. These upgrades and updates are generally made available as downloadable files, access to which is controlled by a system specific password. At its discretion, DuVoice may use other means to upgrade the system. During the term of the Agreement, DuVoice Reseller technicians are entitled to technical support for an unlimited number of incidents. The End User is entitled to Technical support for up to three incidents per year. Technical support includes assistance via telephone from the DuVoice Technical Support Center. DuVoice technicians may also access the system via modem, or Internet access to diagnose problems and / or to assist in programming the system. DuVoice Corporation provides regularly scheduled technical training for administration of our products. Classes are limited in size and are conducted over the Internet with a live instructor. Classes feature demonstrations as well as class participation. During the term of the Agreement DuVoice Reseller and End User employees are entitled to access any DuVoice training class on a first come, first served basis. In addition, DuVoice Reseller and End User employees have access to pre-recorded streaming classes available through the DuVoice web site. The DuVoice Reseller and End User are entitled to receive limited consulting support from DuVoice Corporation for ongoing assistance in developing applications for DuVoice products.

Software Upgrades and Updates. Within reasonable time from availability to Licensor's general user base, Licensor will target Licensee to be automatically upgraded to the latest version or patch. Upgrades and Updates are provided to Licensee at no additional fee, including all Documentation describing the purpose and function of the Upgrades and Updates. Additional fees for Professional services may be required for any services required by Licensee in addition to standard implementation performed by Licensor. Licensor reserves the right to determine how and when to develop and apply any Upgrades and Updates.

  • Software Updates ▇▇▇▇▇ agrees to keep current with software licensed from Skyward and will install new versions on a timeline approved by ▇▇▇▇▇ governance. This timeline will be communicated by NWRDC to the Districts.

  • Software Upgrades All Software Releases (including all Error corrections made available pursuant to this Agreement) that RSA in its sole discretion: (a) deems to be logical improvements to the Software; (b) make generally available to all licensees of the Software; and (c) does not separately price or market.

  • Updates and Upgrades Contractor grants to the Department a non-exclusive, non-transferable license to use upgrades and updates provided by Contractor during the term of the Contract. Such upgrades and updates are subject to the terms of the Contract. The Department shall download, distribute, and install all updates as released by Contractor during the length of the Contract, and Contractor strongly suggests that the Department also downloads, distributes, and installs all upgrades as released by Contractor during the length of the Contract. Contractor shall use commercially reasonable efforts to provide the Department with work-around solutions or patches to reported software problems that may affect the Department’s use of the software during the length of the Contract.

  • Technology Upgrades Notwithstanding any other provision of this Agreement, Verizon shall have the right to deploy, upgrade, migrate and maintain its network at its discretion. The Parties acknowledge that Verizon, at its election, may deploy fiber throughout its network and that such fiber deployment may inhibit or facilitate Covista’s ability to provide service using certain technologies. Nothing in this Agreement shall limit Verizon's ability to modify its network through the incorporation of new equipment or software or otherwise. Covista shall be solely responsible for the cost and activities associated with accommodating such changes in its own network.

  • Licensed Software Computer program(s) provided by Contractor in connection with the Deliverables, subject to Section 14 of this Contract.
