Sourcing of Materials. ‌ Project Co will ensure that all systems, equipment, products, incorporated into the Facilities are sourced and procured: (a) solely through the applicable manufacturer’s authorized distribution channels for the Province of British Columbia; or (b) directly from the applicable manufacturer. If there are only limited authorized distribution channels for the Province of British Columbia for a particular item, Project Co may request consent from the Authority to source and procure the item from another province in Canada. The Authority will not unreasonably withhold its consent to this request. Without limiting the Authority’s decision, it will be reasonable for the Authority to withhold its consent where the warranty provided by the supplier would be reduced or where the Authority would incur additional costs to enforce the warranty.

Sourcing of Materials. GENTA shall establish, update as necessary and implement, and shall use COMMERCIALLY REASONABLE EFFORTS to cause its Subcontractors to establish, update as necessary and implement, inventory management processes and procedures reasonably designed to ensure that GENTA and its Subcontractors are able to obtain, on a timely basis, all KEY RAW MATERIALS and OTHER MATERIALS necessary for performance of the PROCESSING ACTIVITIES as contemplated hereunder. Without limiting the foregoing, GENTA shall enter into, or require its Subcontractors to enter into, written agreements for the supply of all KEY RAW MATERIALS, which written agreements shall be subject to the prior written approval of the SUPPLY CHAIN TEAM.
