The Specialized Software clause defines the terms and conditions governing the use of software that is tailored or uniquely developed for a specific client or purpose. This clause typically outlines ownership rights, licensing restrictions, and any limitations on modification or redistribution of the software. For example, it may specify that the client can use the software only for internal business operations and cannot share it with third parties. The core function of this clause is to clarify the rights and responsibilities of both parties regarding the specialized software, thereby preventing disputes over usage, ownership, and intellectual property.
Specialized Software. Customers can also purchase licenses to Specialized Software included in the portfolio. All Specialized Software (all Software other than SDP) is licensed on a per Project basis only (Project License), and the License Term for such license continues for the term of the development Project, whatever the duration.

All Specialized Software (all Software other than SDP) is licensed on a multi-user basis (Multi-User License), and the License Term for such license continues for the term stated on the applicable License Certificate.

Specialized Software. Customers can also purchase licenses to Specialized Software included in the portfolio. All Specialized Software (all Software other than SDP) is licensed either on a per Project basis (Project License) or as part of certain editions of the General Embedded Development Platform, and in either case for the duration of the License Term. More specifically, certain editions of the General Embedded Development Platform (as specified in the Order and/or Product Portfolio Guide) include certain Specialized Software that is licensed on a Named-User Developer or Floating Developer license basis during the applicable License Term, and such Specialized Software is not tied to a specific Project; however, such Specialized Software may not be used on a Build Server, except under the terms of a separately ordered Build Server license. Additionally, for Specialized Software made available and used under an edition of General Embedded Development Platform licenses that include such Specialized Software, all Developers accessing and using such Specialized Software must be licensed to the same edition of the General Embedded Development Platform Developer License.
Specialized Software. Terracon utilizes a proprietary Construction Materials Engineering and Laboratory Management System (CMELMSTM). This software automates the delivery of information so that test results and inspection information can be quickly entered into the system and a formal report produced. Our CMELMS application can be used anywhere an Internet connection is available. With the use of wireless technology, Terracon personnel can enter data and prepare reports at the project site or in the office. This allows us to achieve better communication, more consistency, and faster turnaround of reporting on the project. The program will also track the project budget on a daily basis and produce real-time budget reports and invoices.

  • Software The Software is licensed to you subject to any terms and conditions presented when you downloaded it from a source authorized by NCR Voyix, as well as those contained in this Agreement. If there is a conflict, this Agreement will control. You are licensed to use the Software only with the Service and with Hardware purchased or subscribed from NCR Voyix or its Resellers. Your license to any Software will end when your subscription to the Service ends. The Software is copyrighted and licensed, not sold, and is NCR Voyix’s confidential and unpublished information. You will retain any copyright notices and proprietary legends on all copies of the Software and the media on which it is delivered. Any attempt to transfer the Software is void and will automatically cause your license to end.

  • Embedded Software To the extent any goods contain Embedded Software (defined below) that is not Buyer’s Property, no title to such Embedded Software shall pass to Buyer, and Supplier shall grant Buyer, its customers and all other users a non-exclusive worldwide, irrevocable, perpetual, royalty-free right to use, load, install, execute, demonstrate, market, test, resell, sublicense and distribute such Embedded Software as an integral part of such goods or for servicing the goods (the “Buyer-Required License”). If such Embedded Software or any part thereof is owned by a third party, prior to delivery, Supplier shall obtain the Buyer-Required License from such third-party owner. “Embedded Software” means software necessary for operation of goods and embedded in and delivered as an integral part of goods.

  • Server Software Subject to the terms and conditions of this ▇▇▇▇, Vocera grants you the non-exclusive right to (i) install and run (“Use”) the Server Software on computer systems (each, a “Server Computer”) located at End User’s Facilities in the geographic territory designated above (“Territory”); (ii) to Use the Client Software in conjunction with Authorized Client Devices and such Server Computers; and (iii) for pilot licenses for certain Software provided on a trial basis, use such Software for the limited term specified by Vocera in writing. You may Use the standard Server Software on one primary Server Computer (or a primary cluster of computers suitably configured for productive use of the Server Software). You may install backup copies of the Server Software on backup Server Computers to provide redundancy in the event of failure of the primary Server Computer(s) but, unless you have acquired additional licenses or a failover license from Vocera, you may not run such backup or additional copies concurrently with the primary copies. Vocera grants you the right to use the applicable License Key issued by Vocera only to enable Use of the Server Software in conjunction with the licensed Server Computers. Server Software may be licensed for a Subscription Term as specified in the Quote.

  • Licensed Software Computer program(s) provided by Contractor in connection with the Deliverables, subject to Section 14 of this Contract.

  • Antivirus software All workstations, laptops and other systems that process and/or store PHI COUNTY discloses to CONTRACTOR or CONTRACTOR creates, receives, maintains, or transmits on behalf of COUNTY must have installed and actively use comprehensive anti-virus software solution with automatic updates scheduled at least daily.
