Common use of SPECIFIC WARRANTIES Clause in Contracts

SPECIFIC WARRANTIES. 7.1 Supplier warrants that the Products will at all times (a) perform in accordance with and conform to the Specification and, and (b) possess the characteristics that Supplier has referred to through samples and prototypes or in marketing; and (c) be fit for their intended purpose, as such purpose has been set out in the Specification. 7.2 Supplier further warrants the Services shall be performed with reasonable care and skill and be free from errors in operation and performance, shall comply with the applicable Specification in all respects, and shall provide the functions and features and operate in the manner agreed to by the parties under this Agreement. 7.3 Ingka shall notify Supplier in writing of any defects that have appeared in the Products and/or Services, including a description of the defect. Products and/or Services that deviate from the warranties in sections 7.1 and 7.2 shall be considered defective. 7.4 Supplier shall promptly (and within the specific time frame, if any, set out in the Specification) remedy the defective Products and/or Services at its own risk and cost, by repair, replacement or re-performance (if re-performance is reasonably convenient to Ingka and provides an adequate remedy of the defect). ▇▇▇▇▇ shall further be entitled to compensation for damages, costs and expenses 7.5 This section shall apply in case the Finnish Act on the Contractor’s Obligations and Liability when Work is Contracted Out (1233/2006, as amended) applies given the nature of the Services provided by Supplier. Supplier warrants that during the term of this Agreement it fulfils and shall procure that its Subcontractors, if any, fulfill their legal obligations as a contracting party and an employer under the Finnish Act on the Contractor’s Obligations and Liability when Work is Contracted Out. Supplier warrants that it has registered to a Reliable Partner–register held by Vastuu Group and will maintain the registration for the term of this Agreement. Supplier shall provide Ingka with a valid Reliable Partner–certificate prior to the signature of this Agreement and unless otherwise agreed shall provide an updated certificate to Ingka at least every 12 months during the term of the Agreement and immediately upon a material change to the certificate or the information contained therein. The Reliable Partner –certificate shall be included to this Agreement as an appendix.

SPECIFIC WARRANTIES. 7.1 Supplier warrants that the Products will at all times (a) be free from defects in materials, design and workmanship; (b) perform in accordance with and conform to the Specification and, Appendix (if applicable) and/or technical specifications and other product documentation made available by Supplier in connection with the Products; (bc) possess the characteristics that Supplier has referred to through samples and prototypes or in marketing; and (cd) be fit for their intended purposemeet all applicable statutory requirements and standards, as such purpose has been set out in the Specificationespecially those relating to environment and safety laws and regulations. 7.2 Supplier further warrants that the Services shall be performed with reasonable care and skill and be free from errors in operation and performance, shall comply with the applicable Specification in all respects, performance and shall provide the functions and features and operate in the manner agreed to by the parties under this Agreement. 7.3 Ingka shall notify Supplier in writing of any defects that have appeared in the Products and/or Services, including a description of the defect.
