SPECIFICATION AND QUALITY. 3.1 Products sold hereunder shall meet the product specifications set forth in Exhibit “A”. 3.2 Domtar shall make such measurements and tests as it, acting reasonably, deems necessary to determine the quantity and quality of products supplied by Weyerhaeuser. Weyerhaeuser shall accept and be bound by such measurements and tests, and the results thereof, subject always to Weyerhaeuser’s right to verify said measurements, tests and results upon reasonable prior notice and during regular business hours. Any correction required to be made by a party to an amount paid for a particular shipment of products as a result of this Section 3.2 shall not, in any case, be made to an amount paid for a shipment of products delivered more than 120 days prior to such measurement and testing. 3.3 Domtar expressly reserves the right to inspect any phase of Weyerhaeuser’s operations pertaining to the manufacture and shipment of products upon reasonable prior notice and during regular business hours.
SPECIFICATION AND QUALITY. 3.1 Pine and Hardwood Roundwood sold hereunder shall be of a quality which is satisfactory for use in the ▇▇▇▇▇ of the type being operated by Domtar and shall meet the roundwood log specifications set forth in Exhibit “A”. 3.2 Payment will be made in accordance with Exhibit “B” and only for the actual quantity of Pine and Hardwood Roundwood that meet the specifications set forth in Exhibit “A”. No payment will be made for Pine and Hardwood Roundwood which, for any reason, fail to meet these specifications. 3.3 Domtar shall make statistically valid measurements and tests as it, in its absolute discretion, deems necessary to determine the quantity and quality of Pine and Hardwood Roundwood supplied by Weyerhaeuser. Domtar shall communicate the results of the measurements and tests in a timely manner. Weyerhaeuser shall accept and be bound by such measurements and tests, and the results thereof, subject always to Weyerhaeuser’s right to verify said measurements, tests and results upon reasonable prior notice and during regular business hours. Any correction required to be made by a party to an amount paid for a particular shipment of Pine and Hardwood Roundwood as a result of this Section 3.3 shall not, in any case, be made to an amount paid for a shipment of Pine and Hardwood Roundwood delivered more than 90 days prior to such measurement and testing. 3.4 In the event that an individual trailer load or partial trailer load of Pine and Hardwood Roundwood fails to conform to the specifications set forth in Exhibit “A”, Domtar shall have the right to refuse acceptance of any such trailer load or partial load upon delivery at scales. Domtar shall have the right to refuse further deliveries of Pine and Hardwood Roundwood until such time Domtar is satisfied that satisfactory steps have been taken by Weyerhaeuser to rectify the cause of the failure to meet the Pine and Hardwood Roundwood specifications set forth in Exhibit “A”.
SPECIFICATION AND QUALITY. 7.1 Indiel will supply Lucas Branded Products to a functional specification which is not inferior to the functional specification of the equivalent original equipment and whose appearance is comparable to the appearance of original equipment of the type in question commonplace in the industry from time to time. Without limiting the generality of the foregoing Indiel will, subject to clause 7.2, as from the Commencement Date supply each type of Lucas Branded Product to no lesser specification than is current at such date for such type of Lucas Branded Product then being supplied to Lucas. 7.2 Indiel shall not change the specification of Lucas Branded Products manufactured by it without giving Lucas at least 45 days' written notification of the intention to change such specification. 7.3 Indiel will use its best endeavours to ensure that all Lucas Branded Products supplied to Lucas under this Agreement comply with all requirements imposed by law in the Territory relating to their manufacture, composition and packaging provided such requirements in relation to each Country in the Territory have been made known in writing by Lucas to Indiel, and Indiel is given a reasonable time after Indiel receives such written notification from Lucas in which to make any necessary changes to Lucas Branded Products. Indiel shall be entitled to reflect any additional costs in relation to such compliance in the prices for the relevant Lucas Branded Products. 7.4 Indiel acknowledges that Lucas will not, and shall not be required to, carry out inspection of Lucas Branded Products before delivery of the same to Lucas' customers and that accordingly the rights of Lucas under this Agreement in relation to Lucas Branded Products shall not thereby be prejudiced. 7.5 Indiel shall incorporate into Lucas Branded Products any Improvement which is incorporated by Indiel into equivalent Other Products.
SPECIFICATION AND QUALITY. All Fuel Oil delivered or caused to be delivered by CPS pursuant to Section 7.2.1 shall be of merchantable quality and shall meet the Fuel specification set forth in Exhibit E. C▇▇▇ ▇▇▇ll have the right (to be exercised consistently with Accepted Electrical Practices) to reject Fuel Oil that does not meet such Fuel specification at the Delivery Point, and CPS, at its expense, shall remove or cause to be removed such Fuel Oil from the Facility Site. Carr ▇▇▇ll bear all costs related to its wrongful rejection of Fuel Oil.

Without limiting the generality of the foregoing the Company must as from the Commencement Date supply each type of ▇▇▇▇▇ Branded Product in accordance with the technical specification as defined in the ▇▇▇▇▇ Parts Acceptance Specification (PAS) current and in force at the Commencement Date. Any amendments to specifications together with any consequential price alterations will be agreed with ▇▇▇▇▇ prior to any Product being delivered to the revised specification. 6.2 The Company will use its best endeavours to ensure that all ▇▇▇▇▇ Branded Products supplied to ▇▇▇▇▇ under this Agreement comply with all requirements imposed by law in Countries where they are intended to be sold by ▇▇▇▇▇ relating to their manufacture, composition and packaging provided such requirements in relation to each relevant country have been made known in writing by ▇▇▇▇▇ to the Company, and the Company is given a reasonable time after the Company receives such written notification from ▇▇▇▇▇ in which to make any necessary changes to ▇▇▇▇▇ Branded Products. The Company shall be entitled to reflect any additional costs in relation to such compliance in the prices for the relevant ▇▇▇▇▇ Branded Products. 6.3 The Company acknowledges that ▇▇▇▇▇ will not, and shall not be required to, carry out inspection of ▇▇▇▇▇ Branded Products before delivery of the same to ▇▇▇▇▇' customers and that accordingly the rights of ▇▇▇▇▇ under this Agreement in relation to ▇▇▇▇▇ Branded Products shall not thereby be prejudiced. 6.4 The Company shall incorporate into ▇▇▇▇▇ Branded Products any Improvement which is incorporated by the Company into equivalent Other Products.

For certainty, the parties agree that hog fuel does not include by-product strands. Any correction required to be made by a party to an amount paid for a particular shipment of hog fuel as a result of this Section 3.1 shall not, in any case, be made to an amount paid for a shipment of hog fuel delivered more than 120 days prior to such measurement and testing. 3.3 Domtar expressly reserves the right to inspect any phase of Weyerhaeuser’s operations pertaining to the manufacture and shipment of hog fuel upon reasonable prior notice and during regular business hours.

C▇▇▇ ▇▇▇ll have the right (to be exercised consistently with Accepted Electrical Practices) to reject Gas that does not meet such Fuel specification at the Delivery Point.

Domtar shall accept and be bound by such measurements and tests, and the results thereof, subject always to Domtar’s right to verify said measurements, tests and results upon reasonable prior notice and during regular business hours. Any correction required to be made by a party to an amount paid for a particular shipment of logs as a result of this Section 3.2 shall not, in any case, be made to an amount paid for a shipment of logs delivered more than 60 days prior to such measurement and testing. 3.3 Weyerhaeuser expressly reserves the right to inspect any phase of Domtar’s operations pertaining to the manufacture and shipment of logs upon reasonable prior notice and during regular business hours.

SPECIFICATION AND QUALITY. 5.1 All specifications illustrations, drawings, weights and measures and other data issued by Boss are an approximate guide and shall not form part of the implied terms of any agreement with the Customer except where Boss has provided express written details of product specification. 5.2 No Condition or warranty, express or implied, is given by Boss as to quality or fitness of the goods for any particular purpose unless expressly warranted by Boss in writing. 5.3 Claims by the Customer for goods considered faulty will only be entertained if the following procedure is adhered to: Claims must be in writing detailing (a) the type and quantity of the goods (b) an explanation of the problem (c) a sample of the alleged faulty goods (d) either the date(s) they were supplied or the Invoice numbers and where the alleged fault affects copy print quality then (e) sample prints illustrating the fault and (f) the service history of the machine in which the returned sample goods were installed. The liability by Boss is limited to the replacement of goods or a refund of the cost of returned goods. Goods for return on acceptance of liability by Boss should be packaged by the Customer or collection by Boss who will bear the return delivery costs. 5.4 No claim will be accepted for defects notified to the Customer before delivery. 5.5 Boss reserves the right not to accept Goods returned without prior agreement. Such goods will be liable to an inspection charge of £10 and collection charges will be payable by the customer. 5.6 If any goods or services supplied by Boss prove defective, the Customer shall notify Boss in writing as soon as possible. Boss will repair or replace or remedy at its expense but will not be under any further liability. 5.7 Claims in respect of any alleged discrepancies on invoices must be made within 30 days of receipt.
