Standard Operating Procedures. All Members must read and accept the Standard Operating Procedure (“SOPs”) receipt of which is acknowledged. Member is responsible for educating their staff and for enforcement of the rules. Repeated violations of SOPs may result in fines and/or termination as further outlined in the Breach/Default section, Paragraph VI(2) herein and Exhibit E (Penalties) to this agreement.

Standard Operating Procedures. Over approximately the past eight years, the Parties have been supplying select Products to one another for use in the operation of their respective businesses within the United States of America, Canada and Mexico. The Parties developed and been following certain standard operating procedures in connecting with, among other topics, forecasting, production planning, ordering, delivering and resolving claims on the Products supplied to one another (the “Current SOPs”). The Parties will be updating their respective business systems over the next six months, and the updates to these business systems will require the Parties to modify the Current SOPs. Once the Parties have completed the updates to the business systems and agreed on the necessary modifications to the Current SOPs, the Parties will sign a written amendment to this Agreement appending the updated standard operating procedures (the “Updated SOPs”). Until the Parties have signed a written amendment appending the Updated SOPs, the parties will continue to follow the Current SOPs. The Parties will comply with the applicable SOPs in connection with the purchase and sale of products identified in a Purchase Schedule. The Parties may add terms and conditions to, and amend the terms and conditions of, the SOP in a Purchase Schedule, but any additional and amended terms and conditions in a Purchase Schedule supplementing and modifying the SOP will only apply the specific products identified in that Purchase Schedule for its duration.

Standard Operating Procedures. 46.01 Standard Operating Procedures shall not contravene the Canada Labour Code, the Canadian Human Rights Code, or the Collective Agreement, and an allegation of such contravention is subject to the grievance procedure.

Standard Operating Procedures. Upon Ironwood’s request, Cyclerion will provide Ironwood with its standard operating procedures and policies relevant to the performance of Services.

Standard Operating Procedures. Enrollment Assister shall incorporate privacy and security standards and implementation specifications, where appropriate, in its standard operating procedures that are associated with functions involving the creation, collection, disclosure, access, maintenance, storage, or use of PII. The privacy and security standards and implementation specifications shall be written in plain language and shall be available to all of the Enrollment Assister’s workforce members, subcontractors, and agents, whose responsibilities entail the creation, collection, maintenance, storage, access, or use of PII. 3.15.1 The aforementioned procedures shall ensure Enrollment Assister’s cooperation with PHIEA in resolving any Incident or Breach, including (if requested by PHIEA) the return or destruction of any PII files it received under this Agreement; the provision of a formal response to an allegation of unauthorized PII use, reuse, or disclosure; and/or the submission of a corrective action plan with steps designed to prevent any future unauthorized uses, reuses, or disclosures. 3.15.2 The standard operating procedures must be designed and implemented to ensure the Enrollment Assister and its workforce, subcontractors, and agents comply with the standards and implementation specifications contained herein, and must be reasonably designed, taking into account the size and the type of activities that relate to PII undertaken by the Enrollment Assister, to ensure such compliance.

Standard Operating Procedures. All research and development activities, including quality assurance, quality control, testing, and research and analysis activities, conducted or contemplated by the Corporation and the Subsidiaries in connection with the Business are being or will be conducted in compliance, in all material respects, with all industry, laboratory safety, management and training standards in the jurisdiction where such activities take place which are applicable to the Business, and all such processes, procedures and practices required in connection with such activities are or will be in place as necessary at the applicable time, and are or will be being complied with in all material respects.

Standard Operating Procedures. (a) for the collection and processing of notifications of environmental occurrences received by Manitoba under this Agreement, as well as for the transmittal of this information by Manitoba to Environment Canada; and (b) for the collection and processing of notifications of environmental occurrences in Manitoba received by Environment Canada under this Agreement, as well as for the transmittal of this information by Environment Canada to Manitoba.

In addition, the Parties will develop processes to train personnel of each Party to respond consistently to such questions or inquiries. For Collaboration Products in the ROW, GSK will follow appropriate standard operating procedures consistent with all applicable Laws.
