Standards and Warranties. 5.1 In addition to any warranties implied by Law, the Manufacturer warrants to the Council that the tanks and supply components which together comprise the Emergency Tank Kits:
(a) are fit for the purposes for which they would ordinarily be required and any other purposes notified by the Council to the Manufacturer;
(b) conform with the Material Specification;
(c) satisfy the requirements of any New Zealand standards that apply to them and of all applicable Laws;
(d) are new, free from defects and of merchantable quality;
(e) all information about the Emergency Tank Kits given to the Council by or on behalf of the Manufacturer is true and correct in all material respects and is not misleading in any respect; and
(f) the Manufacturer is the sole legal and beneficial owner of the Emergency Tank Kits and has sufficient rights in the Emergency Tank Kits to supply the Emergency Tank Kits to the Council free from all security interests.
5.2 If the Manufacturer breaches any Warranty or any Emergency Tank Kit fails to comply with the Material Specification, WREMO may require the Manufacturer to uplift it and refund to the Council or WREMG any money paid by the Council or WREMG and in default of doing so shall be liable to the Council or WREMG for any additional cost incurred in returning or disposing of that Emergency Tank Kit.
5.3 The Manufacturer shall comply with all statutory and other obligations relating to the sale of Emergency Tank Kits by the Council, to Customers.
5.4 The Manufacturer shall provide the Warranty to Customers who purchase an Emergency Tank Kit through WREMO and shall promptly discharge its obligations under that Warranty in the event of any legitimate claim.
5.5 The Council and WREMG, through WREMO, shall not make any representations or give any assurances to Customers or otherwise in respect of Emergency Tank Kits except as provided in this Agreement or expressly authorised in writing by the Manufacturer. The Council is expressly authorised to make any of the representations and warranties set out in the Schedule either on behalf of the Manufacturer or on its own behalf.
