Station Operations. Operator shall be responsible for all costs and expenses related to the operation and routine maintenance of the Terminal except for (i) Capital Costs, (ii) taxes (including property taxes), (iii) Owner’s insurance, (iv) the Additional O&M Services, (v) all utilities, fuel, energy and power fees and costs, (vi) any legal or regulatory agency expenses associated with the Terminal, and (vii) any repair, loss of product or release expense associated with Owner’s carriers, carrier contracts or customers. - Implement scheduling instructions and coordinating of Product movements. - Maintain operation of pipeline, pumping units, valve status, tank levels and telemetered data (pressure, temperature, and flow rate and system status) and other assets in the Terminal. - Measurement, proving, meters and realign piping for varied delivery and flow conditions. - Calibration and routine repair of measurement and control instrumentation. - Documentation of safety and inspection programs as required by federal, state and local regulatory agencies. - Terminal maintenance and routine repair. API tank inspections are not considered routine. - Management of surplus equipment inventory as needed for valves, motors, pumps, meters and instrumentation. Owner will determine and advise Operator of desired level of surplus equipment. - Maintenance of applicable manuals, maps, records, contingency and emergency plans.
Station Operations. Subject to Buyer's time brokering of the Stations pursuant to the Time Brokerage Agreement (which provisions shall control over any inconsistent provision in this Section 6.03) and except for changes or actions in the ordinary course of business consistent with past practices, the Company shall not: (a) sell broadcast time on a prepaid basis (other than in the course of existing credit practices); (b) except as required by the applicable law or written agreements currently in effect, grant or agree to grant any general increases in the rates of salaries 20 21 or compensation payable to employees of the Company (provided that no such increases to any employee shall in the aggregate exceed 6% of such employee's compensation as set forth on Schedule 4.04 hereto), (c) except as required by written agreements currently in effect, grant or agree to grant any specific bonus or increase in compensation to any executive management employee of the Company (provided that no such increases to any employee shall in the aggregate exceed 6% of such employee's compensation as set forth on Schedule 4.04 hereto); (d) provide for any new pension, retirement or other employment benefits for employees of the Company or any increases in any existing benefits, (e) modify, change or terminate any Contract; or (f) change the advertising rates in effect as of the date hereof.
Station Operations. With respect to the operation of the Stations, Licensee shall notify Broker prior to: (i) making any changes in management personnel; (ii) entering into any material contractual obligations in excess of $10,000 individually or $50,000 in the aggregate; (iii) purchasing equipment with value in excess of $25,000; or (iv) making any other material changes in the operation of the Stations.
Station Operations. With respect to the operation of the Station, ICFG shall notify SBS prior to: (i) making any changes in management personnel; (ii) entering into any material contractual obligations in excess of $10,000 individually or $50,000 in the aggregate; (iii) purchasing equipment with value in excess of $25,000; or (iv) making any other material changes in the operation of the Station.
Station Operations. The Station shall be operating within licensed parameters using the transmission facilities specified in its main FCC license, FCC File No. BLH-20060323ABU, (subject to modifications in compliance with Sections 5.1(a) and 5.2(c) hereof), and in substantial conformity with all applicable FCC rules and policies. If the Station is not so operating, then, subject to Section 11.1(d), Closing shall be delayed until the date five (5) business days after such operations are restored. If applicable due to Closing delays pursuant to this Section, Emmis and GRC shall request all available extensions to the FCC Consent, and if such consent expires, the parties shall immediately re-file and thereafter prosecute the FCC Application.
Station Operations. The staffing system for station operations is set out in the document titled AGL ▇▇▇ ▇▇▇▇ Station Operations Staffing Levels which is dated September 2017.This document may be changed by agreement between Company management, the relevant Employees, and/or their union(s), and agreement will not be unreasonably withheld. Where agreement cannot be reached, the matter can be resolved through the dispute resolution procedure under this Agreement, taking into consideration factors including occupational health and safety, fatigue, access to breaks, skills, and operational needs.

  • Business Operations Company will provide all necessary equipment, personnel and other appurtenances necessary to conduct its operations. Company will conduct its business operations hereunder in a lawful, orderly and proper manner, considering the nature of such operation, so as not to unreasonably annoy, disturb, endanger or be offensive to others at or near the Premises or elsewhere on the Airport.

  • Safe Operations Notwithstanding any other provision of this Agreement, an NTO may take, or cause to be taken, such action with respect to the operation of its facilities as it deems necessary to maintain Safe Operations. To ensure Safe Operations, the local operating rules of the ITO(s) shall govern the connection and disconnection of generation with NTO transmission facilities. Safe Operations include the application and enforcement of rules, procedures and protocols that are intended to ensure the safety of personnel operating or performing work or tests on transmission facilities.
