Common use of Status Certificates Clause in Contracts

Status Certificates. Either Party from time to time at the request of the other Party shall sign promptly a written certificate confirming that this Agreement has been duly authorized, is valid, and does not conflict with the articles of incorporation, by-laws, or partnership agreement of the Party in question, and stating whether the Agreement is in full force and effect; whether it has been modified or amended, and if so, the substance of such modification or amendment; whether there have been any uncured breaches; whether there are any offsets, counterclaims, or defenses to be asserted by that Party against the other under this Agreement; and such other information as may be reasonably requested.
