Book-Entry Certificates Clause Samples

The Book-Entry Certificates clause establishes that ownership and transfer of certain securities or certificates will be recorded electronically rather than through physical paper certificates. In practice, this means that all transactions, such as purchases, sales, or transfers, are tracked via a centralized electronic system, often managed by a depository or clearing agency. This approach streamlines the process of managing securities, reduces the risk of loss or theft of physical documents, and increases efficiency by eliminating the need for physical delivery and paperwork.
