Common use of Status of Members Clause in Contracts

Status of Members. SECTION 3.1 No Member will be bound by, or be personally liable for the expenses, liabilities or obligations of the Company. SECTION 3.2 No Member will be entitled to withdraw any part of his Capital Account or to receive any distributions from the Company except as expressly provided in this Agreement. SECTION 3.3 No Member will have the right to require partition of the Company property or to compel any sale or appraisal of the Company’s assets or any sale of a deceased Member’s interest in the Company’s assets, notwithstanding any provisions of law to the contrary.
