Status of Trainees. The Host Institution will retain full authority and responsibility for patient care and quality standards, and will maintain a level of care that meets generally accepted standards conducive to satisfactory instruction. While in Host Institution’s facilities, Trainees will have the status of Trainees; are not to replace Host Institution staff; and, are not to perform unsupervised patient care and/or services.
Status of Trainees. During the period in which a TRAINEE is assigned to the AHS, the TRAINEE shall be under the direction and control of the AHS Program Director or, in the Program Director's absence, his/her designee(s)
Status of Trainees. A. During the period in which a Trainee is assigned to City of Hope, the Trainee shall be under the direction and control of the School’s Program Director or, in the Program Director's absence, his/her designee(s). B. School and City of Hope agree that Trainees are present at City of Hope’s facilities to participate in activities and assignments that are of educational value to Trainees, and that are appropriate to the course and scope of School's Programs, consistent with the requirements of the ACGME. C. Trainees will be provided the opportunity to participate in safe, effective, and compassionate patient care, under supervision, commensurate with their level of advancement and responsibility, as determined by School.
Status of Trainees. During the period in which a TRAINEE is assigned to the AFFILIATE, the TRAINEE shall be under the direction and control of the SCHOOL.
Status of Trainees. 4.1 During the period in which a TRAINEE is assigned to UC SAN DIEGO, the TRAINEE shall be supervised by UC SAN DIEGO personnel. 4.2 It is expressly agreed and understood by UC SAN DIEGO and AFFILIATE that TRAINEES are present at UC SAN DIEGO'S facilities to participate in activities and assignments that are of educational value to TRAINEES, and that are appropriate to the course and scope of PROGRAM(S) and consistent with the requirements of the ACCREDITING AGENCY(IES).

During the period in which a TRAINEE is assigned to the AFFILIATE, the TRAINEE shall be under the direction and control of the SCHOOL’S Program Director or, in the Program Director’s absence, his/her designee(s). B. It is expressly agreed and understood by SCHOOL and AFFILIATE that TRAINEES are present at the AFFILIATE’S facilities to participate in activities and assignments that are of educational value to TRAINEES, and that are appropriate to the course and scope of SCHOOL’S program and consistent with the requirements of the ACGME. C. SCHOOL and AFFILIATE shall ensure that TRAINEES have the opportunity to: 1. Develop a program of learning to ▇▇▇▇▇▇ continued professional growth with guidance from the teaching staff. 2. Participate in safe, effective, and compassionate patient care, under supervision, commensurate with their level of advancement and responsibility, as determined by SCHOOL. 3. Participate fully in the educational and scholarly activities of their program and, as required, assume responsibility for teaching and supervising other TRAINEES and students. 4. Participate, as appropriate, in AFFILIATE programs and medical staff activities and adhere to established practices, procedures, and policies of the AFFILIATE. 5. Have appropriate representation on AFFILIATE committees and councils whose actions affect their education and/or patient care. 6. Submit to the AFFILIATE’S Program Director, at least annually, confidential written evaluations of the faculty and of the educational experiences.
Status of Trainees. Trainees are not UNESCO staff members. No privileges and immunities are granted to them by UNESCO. Trainees shall not be sought or accepted as substitutes for staff members in the implementation of programmes and activities. Trainees work in accordance with the time schedule agreed with the supervisor and shall notify the supervisor in case of absence owing to illness or other unavoidable circumstances. Trainees are not authorized to supervise UNESCO staff members, commit funds, approve budgets or take part in recruitment and procurement actions. They shall not officially represent UNESCO and speak on its behalf. Trainees shall observe all applicable rules, regulations, policies, instructions, procedures and directives of the Organization notwithstanding their status as described in paragraph 1 above. Trainees shall adhere to the Standards of Conduct for the International Civil Service. Trainees shall carry out their assignments and regulate their conduct with the interest of UNESCO only in view, and shall not seek or accept instructions regarding the services performed under the traineeship from any Government or from any authority external to UNESCO. Trainees shall refrain from any conduct that may adversely reflect on UNESCO, and shall not engage in activities incompatible with the aims and objectives of the Organization. Trainees must keep confidential any and all unpublished information made known to them by UNESCO during the course of the assignment and must not publish any reports or papers based on information obtained or made available to them during the assignment, except with the written authorization of UNESCO. This provision shall remain in effect after the expiration of the traineeship. Title rights, copyrights and all other rights of whatsoever nature on any material produced by the Trainees during the course of the assignment with UNESCO will be vested exclusively in UNESCO. However, it is agreed that Trainees may use the results of the work made by them during the course of the assignment with UNESCO in their academic dissertation or for any other academic purpose, subject to UNESCO’s prior authorization. Trainees provide a medical certificate issued by a recognized physician in order to confirm that they are physically fit for the traineeship assignment. Any expenses incurred in connection with this certificate shall be covered by Trainees or their Partner Institution.

  • Limitation of Transactions So long as any Capital Securities remain outstanding, if (a) there shall have occurred and be continuing an Event of Default or a Declaration Event of Default or (b) the Guarantor shall have selected an Extension Period as provided in the Declaration and such period, or any extension thereof, shall have commenced and be continuing, then the Guarantor shall not and shall not permit any Affiliate to (x) declare or pay any dividends or distributions on, or redeem, purchase, acquire, or make a liquidation payment with respect to, any of the Guarantor’s or such Affiliate’s capital stock (other than payments of dividends or distributions to the Guarantor) or make any guarantee payments with respect to the foregoing or (y) make any payment of principal of or interest or premium, if any, on or repay, repurchase or redeem any debt securities of the Guarantor or any Affiliate that rank pari passu in all respects with or junior in interest to the Debentures (other than, with respect to clauses (x) and (y) above, (i) repurchases, redemptions or other acquisitions of shares of capital stock of the Guarantor in connection with any employment contract, benefit plan or other similar arrangement with or for the benefit of one or more employees, officers, directors or consultants, in connection with a dividend reinvestment or stockholder stock purchase plan or in connection with the issuance of capital stock of the Guarantor (or securities convertible into or exercisable for such capital stock) as consideration in an acquisition transaction entered into prior to the occurrence of the Event of Default, Declaration Event of Default or Extension Period, as applicable, (ii) as a result of any exchange or conversion of any class or series of the Guarantor’s capital stock (or any capital stock of a subsidiary of the Guarantor) for any class or series of the Guarantor’s capital stock or of any class or series of the Guarantor’s indebtedness for any class or series of the Guarantor’s capital stock, (iii) the purchase of fractional interests in shares of the Guarantor’s capital stock pursuant to the conversion or exchange provisions of such capital stock or the security being converted or exchanged, (iv) any declaration of a dividend in connection with any stockholders’ rights plan, or the issuance of rights, stock or other property under any stockholders’ rights plan, or the redemption or repurchase of rights pursuant thereto, (v) any dividend in the form of stock, warrants, options or other rights where the dividend stock or the stock issuable upon exercise of such warrants, options or other rights is the same stock as that on which the dividend is being paid or ranks pari passu with or junior to such stock and any cash payments in lieu of fractional shares issued in connection therewith, or (vi) payments under this Guarantee).

  • Description of Transaction 1.1 Merger of Merger Sub into the Company.   • Other Types of Traffic 8.1 Notwithstanding any other provision of this Agreement or any Tariff: (a) the Parties’ rights and obligations with respect to any intercarrier compensation that may be due in connection with their exchange of Internet Traffic shall be governed by the terms of the FCC Internet Order and other applicable FCC orders and FCC Regulations; and, (b) a Party shall not be obligated to pay any intercarrier compensation for Internet Traffic that is in excess of the intercarrier compensation for Internet Traffic that such Party is required to pay under the FCC Internet Order and other applicable FCC orders and FCC Regulations. 8.2 Subject to Section 8.1 of this Attachment, interstate and intrastate Exchange Access, Information Access, exchange services for Exchange Access or Information Access, and Toll Traffic, shall be governed by the applicable provisions of this Agreement and applicable Tariffs. 8.3 For any traffic originating with a third party carrier and delivered by Ymax to Verizon, Ymax shall pay Verizon the same amount that such third party carrier would have been obligated to pay Verizon for termination of that traffic at the location the traffic is delivered to Verizon by Ymax. 8.4 Any traffic not specifically addressed in this Agreement shall be treated as required by the applicable Tariff of the Party transporting and/or terminating the traffic. 8.5 The Parties may also exchange Internet Traffic at the technically feasible Point(s) of Interconnection on Verizon’s network in a LATA established hereunder for the exchange of Reciprocal Compensation Traffic. Any intercarrier compensation that may be due in connection with the Parties’ exchange of Internet Traffic shall be applied at such technically feasible Point of Interconnection on Verizon’s network in a LATA in accordance with the FCC Internet Order.
