Statutory returns. The Company has complied with the provisions of CA85 and all returns, particulars, resolutions and other documents required to be filed with or delivered to the Registrar of Companies or to any other authority whatsoever by the Company have been correctly and properly prepared and so filed or delivered and all statutory records required to be kept by the Company have been properly kept and will be so kept until Completion.

Statutory returns. Each Group Company has at all times complied with the provisions of all relevant companies legislation and all returns, particulars, resolutions and other documents required to be filed with or delivered to the Registrar of Companies or to any other authority whatsoever by each Group Company have been correctly and properly prepared and so filed or delivered.

Statutory returns. All returns, particulars, resolutions and other documents required to be delivered to the Registrar of Companies by the Company have been so delivered.

Statutory returns. To the best of the Purchaser's knowledge, information and belief: (1) the Purchaser has completed and lodged all returns and statements required to be lodged by law with any agency, department, authority or commission and the returns and statements so lodged were true and correct in every respect; and (2) the books, records and registers of the Purchaser in respect of its business and operations have been kept in accordance with all statutory requirements.

Statutory returns. 3.1. The School Census is a DfE statutory return completed by all maintained schools within England. Data items vary according to each census but all three census returns include pupil level data. 3.2. The School Workforce Census is a DfE statutory return completed by all schools annually. Data items include staff level data. Data is collected annually and includes all staff level data.

Statutory returns. The Company has complied with the provisions of the Companies Acts (as defined in CA 85) and the Companies A▇▇ ▇▇▇▇ and all returns, particulars, resolutions and other documents required to be filed with or delivered to the Registrar of Companies or to any other authority whatsoever by the Company have been correctly and properly prepared and so filed or delivered.

Statutory returns. 7.1 The copies of the constitutional documents of each ▇▇▇▇▇ ▇▇▇▇▇▇ Group Company which are in the Disclosure Documents are complete and accurate copies of the constitutional documents of the ▇▇▇▇▇ ▇▇▇▇▇▇ Group Companies, have attached to them copies of all resolutions and other documents required by law to be so attached and set out to the extent required by applicable law the rights and restrictions attaching to each class of share capital of that ▇▇▇▇▇ ▇▇▇▇▇▇ Group Company. 7.2 The statutory books (including all registers and minute books) of each ▇▇▇▇▇ ▇▇▇▇▇▇ Group Company are up to date and accurate in all material respects and no written notice or allegation that has not been complied with that any of them is incorrect or should be rectified has been received in the three years ended on the date of this Agreement. 7.3 All documents which should have been delivered within the last three years by each ▇▇▇▇▇ ▇▇▇▇▇▇ Group Company to the Registrar of Companies (or its equivalent in respect of jurisdictions other than England and Wales) have, in all material respects, been properly so delivered.

Statutory returns. All returns, particulars, resolutions and other documents required to be delivered to the Registrar of Companies or the IOMFSC (as applicable) by the Group Companies have been so delivered each within the timeframes within which it was required to be so delivered.

Statutory returns. 7.1 The copies of the constitutional documents of each Group Company included in the Disclosure Documents are complete and accurate in all material respects, have attached to them copies of all resolutions and other documents required by law to be so attached and set out to the extent required by applicable law such rights and restrictions attaching to each class of share capital of that Group Company as are not implied by relevant statutory law. 7.2 The registers of members (or the equivalent registers) and the other statutory books (or equivalent books) (including all registers and minute books) of each Group Company have in all material respects, during the six years ended on the date of this Agreement, been properly kept as required by law and no written notice or allegation that has not been complied with that any of them is incorrect or should be rectified has been received in the six years ended on the date of this Agreement. 7.3 All documents which should have been delivered within the last six years by each UK Group Company to the Registrar of Companies, or by any other Group Company to any equivalent registry in an overseas jurisdiction, have, in all material respects, been properly so delivered.
