Step 1A Clause Samples

Step 1A. A Selling Series A-1 Member shall deliver to the Managing Member the written election of exchange (an “Exchange Election”) as contemplated by Section 2.1(b) of the Exchange Agreement. Upon the Exchange contemplated by an Exchange Election, the number of Series A-1 Units designated in the Exchange Election shall be reclassified into an equal number of Series C Units (such Series C Units, the “Reclassified Units”) and such Reclassified Units shall (A) be deemed to have been exchanged by the Selling Series A-1 Member and the Series B Members in accordance with Section 3.3(c), and (B) be exchanged as contemplated by Step 2 and Step 3 below and the Exchange Agreement.
Step 1A. Azur shall procure that a resolution of the shareholders of Azur is proposed and passed approving a financial assistance whitewash pursuant to Section 60 of the Irish Companies Act 1963 (the ▇▇▇▇ ▇▇▇) and shall procure that all necessary filings are prepared and made as required under the Companies Acts.
Step 1A. If the grievance is not resolved at Step 1, or the Chief of Police, or designee, fails to respond within the time limit, the Association may process the grievance to the next level. The Association may serve written notice of the grievance to the Police Commission, or designee, within 10 business days following (a) receipt of the written response at Step 1, or (b) the last day of the response period provided for in Step 1. Failure of the Association to serve such notice shall constitute a waiver of the grievance. The grievance shall be heard by the Commission, or designee, within 10 business days of the receipt of the appeal, and a written decision shall be rendered within 30 business days from the date of meeting with the Association. If the grievance is not settled at Step 1, or Step 1A in the Police Department, the Association may file for arbitration pursuant to the procedure in Step 4 – Arbitration, above.
Step 1A. The employee, with the Association representative or the representative acting alone but in behalf of the employee, shall, within fifteen (15) calendar days of the occurrence of the grievance or the employee's knowledge of same, discuss the complaint with the employee's supervisor who is most directly involved in the complaint. The supervisor shall then attempt to resolve the matter, or shall respond in writing to the Association representative or the employee within five (5) calendar days.
Step 1A. Intac Holdco Corp. transfers 100 shares in the issued share capital of Intac Hong Kong to Intac International for a nominal consideration. Intac Hong Kong undertakes all necessary corporate and other action to ensure compliance with sections 47B to 48 of the Companies Ordinance (Cap.32 of the Laws of Hong Kong) (“Companies Ordinance”) to ensure any financial assistance provided by it for any acquisition of its shares under steps 4-12 of this memorandum is lawfully provided.

  • Step 2 (a) If the grievance is not resolved at Step 1, the grievant or designated representative may submit the grievance in writing on a grievance form as contained in Appendix B of this Agreement, to the Agency Head or designated representative within 15 days following receipt of the decision at Step 1. The grievance form must contain the same information as the grievance filed at Step 1. The grievance shall include a copy of the grievance form submitted at Step 1, together with the written response and documents in support of the grievance. (b) The Agency Head or designated representative shall communicate a decision in writing to the grievant and the PBA Grievance Representative, if any, within 15 days following receipt of the written grievance. If the Agency Head fails to respond within the time limit, it shall be deemed a denial. (c) If a grievance, alleging that a disciplinary action (reduction in base pay, demotion, involuntary transfer of more than 50 miles by highway, suspension, or dismissal) was taken without cause, is not resolved at Step 2, the PBA representative, or the grievant or grievant’s representative, if not represented by PBA, may appeal the grievance to arbitration as provided in Article 6, Section 3(G)(4), below, within 15 days after receipt of the Step 2 decision.

  • Step 1 Within fifteen workdays of the occurrence of the grieved action (or from the day the employee should have known about the action) the employee shall present a formal written grievance (on the grievance form) to Agency Head and/or his/her Designee.

  • Step 3 i. The employer shall review the particulars of the complaint as provided by the complainant pursuant to Article E.2.3.b. i. The employer may request further particulars from the complainant. Upon the conclusion of such a review, the employer shall: (1) initiate an investigation of the complaint and appoint an investigator pursuant to Article E.2.3.c.iii below, or; (2) recommend mediation or other alternative disputes resolution processes to resolve the complaint. ii. Should the complainant not agree with the process described in Article E.2.3.c.i(2), the employer shall initiate an investigation. The employer shall provide notice of investigation. iii. The investigation shall be conducted by a person who shall have training and/or experience in investigating complaints of harassment. iv. The complainant may request: (1) that the investigator shall be of the same gender as the complainant; and/or (2) an investigator who has Aboriginal ancestry, and/or cultural knowledge and sensitivity if a complainant self-identifies as Aboriginal. Where practicable the request(s) will not be denied. v. The investigation shall be conducted as soon as is reasonably possible and shall be completed in twenty (20) working days unless otherwise agreed to by the parties, such agreement not to be unreasonably withheld.

  • Step III 21.5.1 If the employee desires to appeal the grievance to Step III, the employee shall indicate in writing the reason for the appeal and present it along with the original written grievance to the Municipal Employee Relations Officer or designee within ten (10) working days following receipt of the written decision at Step II. 21.5.2 Within ten (10) working days after receipt of the appeal to Step III, the Municipal Employee Relations Officer or designee shall schedule a meeting with the employee, the appropriate Union representative, and the Department Director or designee to discuss the matter. A written decision shall be given to the employee or the appropriate Employee Organization representative within ten (10) working days following the meeting. 21.5.3 If the decision of the Municipal Employee Relations Officer or designee is unsatisfactory, the appropriate Employee Organization representative may appeal the grievance to Step IV - Arbitration.

  • STEP II If the grievance is not resolved at Step I then the Association may refer the grievance to the superintendent or the superintendent’s official designee within ten (10) days after receipt of the Step I answer. The superintendent shall arrange with the Association representative for a meeting to take place within five (5) days of the superintendent’s receipt of the appeal. Each party may include in its representation such witnesses and counselors as it deems necessary. Within five (5) days of the meeting, the Association shall be provided with the superintendent’s written response, including the reasons for the decision.
