Stock Reserved Sample Clauses

Stock Reserved. The Company shall at all times during the term of this Agreement reserve and keep available such number of shares of the Common Stock as will be sufficient to satisfy the requirements of this Agreement, and shall pay all original issue taxes on the exercise of this Option, and all other fees and expenses necessarily incurred by the Company in connection therewith.

Stock Reserved. The Company shall at all times during the term of the Award reserve and keep available such number of shares of its Common Stock as will be sufficient to satisfy the Award issued and granted to Grantee and the terms stated in this Agreement. It is intended by the Company that the Plan and shares of Common Stock covered by the Award are to be registered under the Securities Act of 1933, as amended, prior to the grant date; provided, that in the event such registration is for any reason not effective for such shares, the Grantee agrees that all shares acquired pursuant to the grant will be acquired for investment and will not be available for sale or tender to any third party.

Stock Reserved. The Corporation shall at all times during the term of the Award reserve and keep available such number of shares of its Common Stock as will be sufficient to satisfy the Award issued and granted to Grantee and the requirements thereof as evidenced by this instrument, and shall pay all original issue taxes, if any, on the transfer of Common Stock to the Grantee, and all other fees and expenses necessarily incurred by the Corporation in connection therewith.

Stock Reserved. The Company represents and covenants that it has sufficient shares of authorized stock reserved and will, for as long as this option is effective as to shares for which the option has not been exercised, continue to reserve such shares.

Stock Reserved. The Bank shall at all times during the term of the option granted hereunder reserve and keep available such number of shares of its common stock as will be sufficient to satisfy the requirements of this Employment and Stock Option Agreement, and shall pay all original issue taxes on the purchase of shares purchased hereunder.

Stock Reserved. (a) The stock subject to options hereunder shall be shares of the Corporation's Common Stock, no par value per share ("Common Stock"). The aggregate number of shares of Common Stock as to which options may be granted from time to time under the Plan, and the aggregate number which may be issued to officers and directors, shall not exceed 2,000,000. Such shares may, in whole or in part, be authorized but unissued shares or shares that shall have been or that may be reacquired by the Corporation. The limitations established by this Section 5(a) shall be subject to adjustment as provided in Section 8(i) hereof. (b) In the event that any outstanding option under the Plan for any reason expires or is terminated without having been exercised in full, the shares of Common Stock allocable to the unexercised portion of such option (unless the Plan shall have been terminated) shall become available for subsequent grants of options under the Plan.

Stock Reserved. The Corporation shall at all times reserve and -------------- keep available out of its authorized but unissued Class A Common Stock, solely for issuance upon the conversion of shares of Convertible Preferred Stock as herein provided, such number of shares of Class A Common Stock as shall from time to time be issuable upon the conversion of all of the shares of Convertible Preferred Stock at the time outstanding.
