Subcontract Documents. The Subcontract Documents consist of (1) this Subcontract; (2) Other Prime Contract Documents, whether issued before or after the execution of this Subcontract; (3) the Job Progress Schedules, including modifications thereof; (4) General Rules and Procedures and modifications thereof; and (5) Addenda modifications, and the attachments to this Subcontract. These documents form the Subcontract Documents and are as fully a part of this Subcontract as if attached to this Subcontract or repeated herein.
Subcontract Documents. The term “Subcontract Documents” shall include, without limitation, (i) the MSA and all attachments identified in the MSA, (ii) the WO and all attachments identified in the WO, (iii) the Prime Contract Documents applicable to a specific Project, and (iv) all modifications and change orders issued after execution of the Agreement. The “Prime Contract Documents” as used in this paragraph are defined to mean and include the Prime Contract between the Owner and Contractor for a specific Project, including, but not limited to, all drawings and specifications, general and special or supplementary conditions and all other documents or attachments incorporated in the Prime Contract. Upon Subcontractor’s request, Contractor shall make copies of the Prime Contract Documents available for review and reproduction, however, Contractor reserves the right to redact confidential, financial and trade secret information from the Prime Contract Documents made available to Subcontractor. The terms and conditions of any of Subcontractor proposals or quote submitted for a specific Project shall not in any way modify, amend, add or subtract from the terms and conditions contained in this MSA.
Subcontract Documents. The Subcontractor must keep available on Site at least one complete set of current Subcontract Documents. Where portions of the Works are being performed away from the Site, the Subcontractor must keep at that location at least one set of current Subcontract Documents that relate to that portion of the Works. The Subcontractor must allow Honeywell to inspect any document at any time to verify its currency and completeness. Any deficiencies identified from these inspections may be notified by Honeywell to the Subcontractor and must be rectified by the Subcontractor within five (5) days of the receipt of such notice. The Subcontractor acknowledges and agrees that it is fully responsible for the documents that the Subcontractor is required to prepare or provide under this Subcontract and that: 1) no comment, review or direction (or any failure to comment, review or give a direction) by ▇▇▇▇▇▇▇▇▇ or ▇▇▇▇▇▇▇▇▇’s Representative; and 2) no acknowledgement or purported or actual acceptance by Honeywell or Honeywell’s Representative, 3) with respect to any such document will waive or relieve the Subcontractor from any liability or obligation under this the Subcontract or affect any warranty given by the Subcontractor under this Subcontract.

Subcontract Documents. This “Subcontract – Master Agreement” shall be incorporated in the terms of all future work (“Work”) negotiated between the General Contractor and the Subcontracted, as is reflected in those signed Job Acceptance Forms that reference this Subcontract - Master Agreement. The parties intend that this Subcontract – Master Agreement shall remain in effect and shall not change from project to project, unless it is specifically modified or cancelled by a subsequent signed, written agreement. All terms, provisions and conditions of this “Subcontract – Master Agreement” shall apply to the “Work” described in each Job Acceptance Form. The documents comprising the parties’ Subcontract Agreement, including all future referenced agreements between the parties, shall consist of: (a) This Subcontract - Master Agreement; (b) Any future Subcontract – Job Acceptance Forms between the parties that reference the Subcontract - Master Agreement, and the Subcontractor’s proposal related to each Job Acceptance Form; (c) Any Prime Contract, consisting of any Contract between the Owner(s) and the General Contractor, and the Contract Exhibits as enumerated therein, referenced in any future Subcontract – Job Acceptance Form that is signed by the parties hereto; (d) Any approved change orders or other modifications to any referenced Prime Contract and/or approved change orders or modifications to any Subcontract – Job Acceptance Form; (e) The Project Schedule and any other documents referenced in any Subcontract - Job Acceptance Form, and any approved changes or modifications thereto. These documents constitute the entire Subcontract Agreement between the parties hereto, and are as fully a part of the Subcontract Agreement as if referenced and attached hereto. These documents represent the entire Agreement between the parties, and shall supersede prior negotiations, representations or other agreements, either written or oral. Except for any modifications to the Prime Contract and its exhibits, Subcontract Documents may be amended only by a written modification signed by the Subcontractor and the General Contractor. The Subcontractor and any sub-subcontractor shall be furnished copies of any Prime Contract and other Subcontract Documents upon request, but the General Contractor may charge the Subcontractor for the reasonable cost of reproduction. Subcontract Documents. The Subcontract Documents include this Agreement, the Owner-Contractor Agreement, including all administrative and procedural provisions, together with all authorized changes, additions and modifications. The Contractor's Contract with the Owner includes, but is not limited to, the Agreement between the Contractor and the Owner (except for financial information), all addenda, modifications, revisions, plans, drawings, specifications, details, together with all general, technical, supplementary and special terms and conditions, any invitations for bids or information for bidders, if any, to the extent applicable, and all other documents listed in or referred to by the Contractor's Contract with the Owner.

Subcontract Documents. (a) The Subcontract is comprised of the documents set out in Item 12 Schedule 1. (b) Without limitation, HLL is not bound by any terms and conditions set out on any document provided by the Supplier, including delivery documents (regardless of whether any such document is signed by or for HLL). (c) Figured will prevail over scaled dimensions in a discrepancy. Otherwise, if the Supplier discovers any inconsistency, ambiguity or discrepancy in any document prepared for the purpose of Supply of the Goods, the Supplier will give HLL written notice of it. HLL will, thereupon or upon otherwise becoming aware, direct the Supplier as to the interpretation and construction to be followed. (d) The Supplier shall bear the cost of compliance with a direction under this clause 3.1 to the extent that any inconsistency, ambiguity or discrepancy in any document prepared by the Supplier for the purpose of Supplying the Goods. (e) The Supplier acknowledges that HLL has entered into the Main Contract and the terms, if any, specified in Schedule 4, taken from the Main Contract, apply to this Subcontract. (f) Unless otherwise specified under a Purchase Order, [HLL] is obliged to and is responsible for obtaining all Approvals necessary for the Supply of Goods.
