Common use of Subcontracts and Assignment; Successors and Assigns Clause in Contracts

Subcontracts and Assignment; Successors and Assigns. Except as described and approved in Exhibits A and B, Contractor shall not enter into any subcontracts for any of the Work required by this Contract or assign or transfer any of its interest in this Contract, without Estuary Partnership's prior written consent, which consent may be withheld in Estuary Partnership’s sole discretion. In addition to any other provisions Estuary Partnership may require, Contractor shall include in any permitted subcontract under this Contract a requirement that the subcontractor be bound by the terms of this Contract as if the subcontractor were the Contractor. Estuary Partnership’s consent to any subcontract shall not relieve Contractor of any of its duties or obligations under this Contract. SAMPLE
