Common use of Successions or Assignments Clause in Contracts

Successions or Assignments. 5.14.1 This Deed of Trust shall inure to the benefit of the successors or assigns of the Secured Parties who shall have, to the extent of their interest, the rights of the Secured Parties hereunder; provided, however, that the rights of the Secured Parties hereunder, if any be retained by them, shall have priority over and be senior to the rights of its successors or assigns unless Beneficiary shall otherwise elect. 5.14.2 This Deed of Trust is binding upon Grantor and its successors and assigns. Grantor is not entitled to assign its obligations hereunder to any other person without the written consent of Beneficiary, and any purported assignment in violation of this provision shall be void.
