Sufficient Resources. BUYER has sufficient management and financial resources to obtain the required Regulatory Approvals for the transactions contemplated hereby. As of the date hereof, there is no pending or, to the best of BUYER’s knowledge after due inquiry, threatened legal or governmental proceedings against BUYER or any affiliate that would affect BUYER’s ability to obtain the required Regulatory Approvals or satisfy any of the other conditions required to be satisfied in order to consummate the transactions contemplated hereby.
