Survival of Representations and Warranties of the Purchaser. (1) The representations and warranties of the Purchaser contained in this Agreement shall survive the Closing and shall continue for the benefit of the Vendors for a period of [**](34) notwithstanding such Closing, except that:
(2) the representations and warranties set out in Sections 3.2(1), 3.2(2), 3.2(5) and 3.2(6) shall survive the Closing and shall continue in full force and effect without limitation of time; and
(3) a claim for breach of any such representation or warranty, to be effective, must be asserted in writing on or prior to the applicable expiration time set out in this Section 3.4, provided that a claim for any breach of any of the representations and warranties contained in this Agreement or in any agreement, instrument, certificate or other document executed or delivered pursuant to this Agreement involving fraud or fraudulent misrepresentations may be made at any time following the Closing Date, subject only to applicable limitation periods imposed by Law
Survival of Representations and Warranties of the Purchaser. The representations and warranties of the Purchaser contained in this Agreement and in any agreement, certificate, affidavit, statutory declaration or other document delivered or given pursuant to this Agreement shall survive the Closing and, notwithstanding such Closing or any investigation made by or on behalf of the Vendors, with respect thereto, shall continue in full force and effect for the benefit of the Vendors provided, however, that no claim in respect thereof shall be valid unless it is made within a period of three years from the Closing Date.
Survival of Representations and Warranties of the Purchaser. The representations and warranties set forth in subsections 3.02 (a), (b), and (c) shall survive Closing and shall continue in effect without limitation. All other representations and warranties made by the Purchaser hereunder shall survive the closing of the purchase transaction hereunder and shall continue in effect for a period of twenty four (24) months from Closing; after which time, if no notice of claim shall, prior to the expiry of the aforesaid period, have been made hereunder against the Purchaser with respect to any incorrectness in or breach of any representation or warranty made by the Purchaser, the Purchaser shall have no further liability hereunder with respect to such representation or warranty.
Survival of Representations and Warranties of the Purchaser. The representations and warranties of the Purchaser contained in this Agreement and in any Closing Document and in any agreement, certificate, affidavit, statutory declaration or other document delivered or given pursuant to this Agreement or any Closing Document shall survive the Closing and, notwithstanding the Closing or any investigation made by or on behalf of the Guarantor or the Vendor with respect thereto, shall continue in full force and effect for the benefit of the Guarantor and the Vendor provided, however, that no claim in respect thereof shall be valid unless it is made within the following time periods:
(a) in the case of a claim in respect of the representations and warranties set forth in Section 3.3.1, there shall be no time limit within which such a claim may be made; and
(b) in the case of a claim in respect of any other representation and warranty, within a period of fifteen months from the Closing Date; and any such claim shall be made in accordance with the provisions set forth in Article 6 and, upon the expiry of the relevant limitation period, the Purchaser shall have no further liability to the Guarantor or the Vendor with respect to any of such representations or warranties, except in respect of claims which have theretofore been timely made in good faith in accordance with the provisions set forth above.
Survival of Representations and Warranties of the Purchaser. The representations and warranties of the Purchaser contained in Section 3.3 or shall survive the Closing and, notwithstanding the Closing, shall continue in full force and effect for the benefit of the Vendor for a period of three years, after which time, the Purchaser shall be released from all obligations and liabilities hereunder in respect of such representations and warranties, except with respect to any claims made by the Vendor in writing prior to the expiration of such period.
Survival of Representations and Warranties of the Purchaser. The representations and warranties of the Purchaser contained in this Agreement and any agreement, instrument, certificate or other document executed or delivered pursuant hereto shall survive the closing of the transactions contemplated hereby for a period of one year after the Closing Date unless a bona fide notice of a claim shall have been made in writing before the expiry of that period, in which case the representation and warranty to which such notice applies shall survive in respect of that claim until the final determination or settlement of the claim, and, notwithstanding such closing nor any investigation made by or on behalf of the Vendor, shall continue in full force and effect for the benefit of the Vendor during such period, except that:
(a) the representations and warranties set out in Sections 4.1(a) and 4.1
Survival of Representations and Warranties of the Purchaser. Notwithstanding any right of the Company and the Sellers fully to investigate the affairs of the Purchaser, the Company and the Sellers have the right to rely fully upon the representations, warranties, covenants and agreements of the Purchaser contained in this Agreement or in any document delivered to the Company or Sellers by the Purchaser or any of its representatives at the Closing, in connection with the transactions contemplated by this Agreement. All such representations, warranties, covenants and agreements shall survive the execution and delivery hereof and the Closing hereunder for twelve (12) months following the Closing Date.

(b) a claim for any breach of any of the representations and warranties contained in this Agreement or in any agreement, instrument, certificate or other document executed or delivered pursuant hereto involving fraud or fraudulent misrepresentation may be made at any time following the Closing Date, subject only to applicable limitation periods imposed by law.
