Synchronization, Commissioning and Commercial Operation. 4.1.1 5.1.1 The Power Producer HPD shall give the concerned RLDC/SLDC and SECI and also Buying Entity at least fifteen sixty (1560) days days’ advanced preliminary written notice to the SLDC / ALDC / DISCOM as the case may beand at least thirty (30) days’ advanced final written notice, of the date on which it intends to synchronize the Power Project to the Grid System.

4.1.3 5.1.3 The synchronization equipment and all necessary arrangements / equipment including Remote Terminal Unit (RTU) RTU for scheduling of power generated from the Project and transmission of data to the concerned authority as per applicable regulation shall be installed by the Power Producer HPD at its generation facility of the Power Project at its own cost. The Power Producer HPD shall synchronize its system with the Grid System only after the approval of GETCO / SLDC / ALDC synchronization scheme is granted by the head of the concerned substation/Grid System and GEDAchecking/verification is made by the concerned authorities of the Grid System.
4.1.4 5.1.4 The Power Producer HPD shall immediately after each synchronization / synchronization/tripping of generator, inform the sub-station of the Grid System to which the Power Project is electrically connected in accordance with applicable Grid CodeCode under intimation to SECI. In addition, the HPD will inject in-firm power to grid time to time to carry out operational/ functional test prior to commercial operation. For avoidance of doubt, it is clarified that Synchronization / Connectivity of the Project with the grid shall not to be considered as Commissioning of the Project.
4.1.5 5.1.5 The Power Producer HPD shall commission the Project as detailed in “Schedule 3: Commissioning Procedure” within SCODthe SCD as per this Agreement. Declaration of COD / UCOD shall only be done subject to the demonstration of the compliances as per Schedule-3 and subsequent upon the successful visit by the Commissioning Committee.
4.1.6 5.1.6 There can be part Commissioning of the Project. Part commissioning of the project shall mean that all equipment corresponding to the part capacity have been installed and commissioned and corresponding energy has flown into the grid. Part commissioning cannot be construed by just installing one source of generation, the HPD shall install both solar and wind capacities in proposed ratio on pro-rata basis.
5.1.7 The Power Producer Parties agree that for the purpose of commencement of the supply of electricity by HPD to SECI, liquidated damages for delay etc., the Scheduled Commissioning Date or extended Scheduled Commissioning Date as defined in this Agreement shall be required to obtain Developer and/ or Transfer Permission, Key Plan drawing etc, if required, from GEDA. In cases of conversion of land from Agricultural to Non-Agriculture, the commissioning shall be taken up by GEDA only upon submission of N.A. permission by the Power Producerrelevant date.

The Solar Power Producer Developer shall synchronize its system with the Grid System only after the approval of GETCO / SLDC / ALDC synchronization scheme is granted by the head of the concerned substation/ Grid System and GEDAchecking/verification is made by the concerned authorities of the Grid System.
4.1.4 The 3.11.3 Solar Power Producer Developer shall immediately after each synchronization / synchronization/ tripping of generator, inform the sub-station substation of the Grid System to which the Power Project is electrically connected in accordance with applicable Grid Code.
4.1.5 3.11.4 The Commercial Operation Date (“COD”) shall be considered as the actual date of commissioning of the project as certified by the DISCOM based on the performance during this period. Commissioning of Project shall be the date, when the project meets the criteria and specification defined for the Project Commissioning i.e. the Project will be considered as commissioned if all equipment as per rated project capacity has been installed and energy has flown into grid, in line with the Commissioning procedures defined in the Guidelines/RFP/PPA. The energy accounting shall start from the date of COD. SBI shall pay tariff at the rate mentioned in Article 5 only for the electricity flowing into the grid after the Commercial Operation Date (COD).
3.11.5 Solar Power Producer Developer shall commission and commence the supply of power from the Project within on or before the Scheduled Commercial Operation Date (SCOD) which shall in no event extend beyond 4 months from COD as mentioned in clause 10.4.
4.1.6 The Power Producer shall 1. Early commissioning is allowed and however without NoC for Open Access and Banking Wheeling Agreement in place, SBI won’t be required able to obtain Developer and/ or Transfer Permission, Key Plan drawing etc, if required, procure the power from GEDASPD. 4.1.5 The Power Producer shall commission the Project within SCOD. Further, the Power Producer shall submit Lease Agreement executed with SPPD in the name of Power Producer on or before SCOD.
4.1.6 The Power Producer shall be required to obtain Developer and/ or Transfer Permission, Key Plan drawing etc, . from GEDA (if required) prior to mounting of panels and submit the same to GUVNL prior to actual commissioning of the project / unit. Further, from GEDA. In cases of conversion of land from Agricultural to Non-Agricultureat this stage, the commissioning shall be taken up by GEDA only upon submission of N.A. permission by the Power Producer.
4.1.7 The Power Producer shall be required to follow the Forecasting and Scheduling procedures technology adopted as per the Regulations issued by Hon’ble GERC Annexure A of RfS or in accordance with MNRE’s Approved List of Models and Manufacturers of Solar PV Modules (Requirements for Compulsory Registration) Order, 2019 as amended from time to time. 4.1.4 The Power Producer shall immediately after each synchronization / tripping of generator, inform the sub-station of the Grid System to which the Power Project is electrically connected in accordance with applicable Grid Code, Gujarat SLDC and regional RLDC.
4.1.5 The Power Producer successful bidder shall commission submit details of Technology adopted as per Annexure A and in accordance with MNRE’s Approved Models and Manufacturers of Solar PV Modules (Requirements for Compulsory Registration) Order, 2019 as amended from time to time prior to actual commissioning of the Project within SCODIn addition to above, the Successful Bidder shall submit the Connectivity agreement with STU and/or CTU, if applicable and requisite consent for Power Evacuation from STU and/or CTU, if applicable, confirming technical feasibility of connectivity of the Solar Power Project upto the Delivery Point.
4.1.6 The Power Producer shall be required to obtain Developer and/ or Transfer Permission, Key Plan drawing etc. from GEDA / similar permission issued by concerned State Nodal Agency prior to mounting of panels and submit the same to GUVNL prior to actual commissioning of the project / unit. Further, if required, from GEDA. In cases of conversion of land from Agricultural to Non-Agricultureat this stage, the commissioning shall be taken up by GEDA only upon submission of N.A. permission by the Power Producer.

4.1.3 4.1.3. The synchronization equipment and all necessary arrangements / arrangements/ equipment including Remote Terminal Unit (RTU) for scheduling of power generated from the Project and transmission of data to the concerned authority as per applicable regulation shall be installed by the Hybrid Power Producer Developer at its generation facility of the Power Project at its own cost. The Hybrid Power Producer Developer shall synchronize its system with the Grid System only after the approval of GETCO / STU and SLDC / ALDC and GEDAor MSEDCL.
4.1.4 4.1.4. The Hybrid Power Producer Developer shall immediately after each synchronization / tripping of generator, inform the sub-station of the Grid System to which the Power Project is electrically connected in accordance with applicable Grid Code.
4.1.5 4.1.5. The Power Producer Projects shall commission be commissioned within a period of 13 (Thirteen) months from the date of execution of the PPA.
4.1.6. Part commissioning of the Project within shall be accepted by MSEDCL subject to the condition that the Minimum Capacity for acceptance of first and subsequent part(s) commissioning shall be 50% of the capacity specified by the bidder in its bid for the particular/each site, without prejudice to the imposition of penalty, in terms of the PPA on the part which is not commissioned. Further, the installed capacity at a site shall be given the status of part commissioned only if it fulfills the configuration criteria as per definition of Hybrid Power Developer. However, the SCOD (Schedule Commercial Operation Date) will not get altered due to part- commissioning. Irrespective of dates of part commissioning or full commissioning, the PPA will remain in force for a period of 25 (twenty-five) years from the SCOD.
4.1.7. The early commissioning of project is permitted for full commissioning as well as part commissioning even prior to SCOD subject to the availability of evacuation arrangements. In case of early full commissioning, MSEDCL may purchase the generation till SCOD at PPA tariff. In case of part commissioning till SCOD as described in Article 4.1.6 The Power Producer above, MSEDCL may purchase the generation till SCOD at 75% of PPA tariff. Further, early part/ full commissioning of the Project and subsequent energy procurement from the same shall be required to obtain Developer and/ or Transfer Permission, Key Plan drawing etc, if required, from GEDA. In cases of conversion of land from Agricultural to Non-Agriculture, the commissioning shall be taken up by GEDA only upon submission of N.A. permission by the Power Producer.

Subject to Article 4.1.1, the Power Project may be synchronized by the Power Producer Renewable Energy Project Developer to the Grid System when it meets all the connection conditions prescribed in the Grid Code and otherwise meets all other Indian legal requirements for synchronization to the Grid System.
4.1.3 . The synchronization equipment and all necessary arrangements / arrangements/ equipment including Remote Terminal Unit (RTU) for scheduling of power generated from the Project and transmission of data to the concerned authority as per applicable regulation shall be installed by the Power Producer Renewable Energy Project Developer at its generation facility of the Power Project at its own cost. The Power Producer Renewable Energy Project Developer shall synchronize its system with the Grid System only after the approval of GETCO / SLDC / ALDC STU/CTU and GEDA.
4.1.4 SLDC/RLDC or DISCOM. The Power Producer Renewable Energy Project Developer shall immediately after each synchronization / tripping of generator, inform the sub-station of the Grid System to which the Power Project is electrically connected in accordance with applicable Grid Code.
4.1.5 . The Power Producer Projects shall commission be commissioned within a period of 30 (Thirty) months from the date of execution of the PPA. Part commissioning of the Project within SCOD.
4.1.6 The Power Producer shall be required accepted by MSEDCL subject to obtain Developer and/ the condition that the Minimum Capacity for acceptance of first and subsequent part(s) commissioning shall be the 50% of the capacity specified by the bidder in its bid for the particular/each site or Transfer Permission50 MW, Key Plan drawing etcwithout prejudice to the imposition of penalty, if required, from GEDAin terms of the PPA on the part which is not commissioned. The Successful Bidder shall be permitted for full commissioning as well as part commissioning of the Project even prior to the SCOD subject to the availability of the evacuation arrangements. In cases of conversion early part- commissioning and the evacuation arrangements are available, MSEDCL shall purchase the generation at 75% of land from Agricultural to the respective Part PPA tariff without any additional Tariff on account of Change in Law till the SCoD for the energy supplied during Solar Generation Hours and Non-AgricultureSolar Generation Hours. In case of early full commissioning, MSEDCL will purchase the generation till SCOD at respective part PPA tariff for the energy supplied during Non-Solar Generation Hours and Solar Generation Hours. Further, early part/ full commissioning of the Project and subsequent energy procurement from the same shall be taken up by GEDA only upon submission of N.A. permission by the Power Producer.
4.1.7 The Power Producer shall be required to follow the Forecasting and Scheduling procedures as per the Regulations issued by Hon’ble GERC from time to time. It is to clarify that in terms of GERC (Forecasting, Scheduling, Deviation Settlement and Related Matters of Solar and Wind Generation Sources) Regulations, 2019 the procedures for Forecasting, Scheduling & Deviation Settlment are applicable to all solar generators having combined installed capacity above 1 MW connected subject to the State Grid / Substation including those connected via pooling stationsapproval of MSEDCL.

Synchronization, Commissioning and Commercial Operation. 4.1.1 5.1.1 The Power Producer BESSD shall give the concerned RLDC/SLDC, SECI and also Buying Entity (ies) at least fifteen sixty (1560) days days’ advanced preliminary written notice to the SLDC / ALDC / DISCOM as the case may beand at least thirty (30) days’ advanced final written notice, of the date on which it intends to synchronize the Power Project to the Grid System.
4.1.2 5.1.2 Subject to Article 4.1.15.1.1, the Power Project may be synchronized by the Power Producer BESSD to the Grid System when it meets all the connection conditions prescribed in the applicable Grid Code then in effect and otherwise meets all other Indian legal requirements for synchronization to the Grid System.
4.1.3 5.1.3 The synchronization equipment and all necessary arrangements / equipment including Remote Terminal Unit (RTU) RTU / any other equipment for scheduling charge and discharge of power generated from the Project and transmission of data to the concerned authority as per applicable regulation shall be installed by the Power Producer BESSD at its generation facility of the Power Project at its own cost. The Power Producer BESSD shall synchronize its system with the Grid System only after the approval of GETCO / SLDC / ALDC synchronization scheme is granted by the head of the concerned substation/Grid System and GEDAchecking/verification is made by the concerned authorities of the Grid System and RLDC, in line with the provisions of the Grid Code.
4.1.4 5.1.4 The Power Producer BESSD shall immediately after each synchronization / synchronization/tripping of generatorsystem, inform the sub-station of the Grid System to which the Power Project is electrically connected in accordance with applicable Grid CodeCode under intimation to SECI. In addition, the BESSD at its own risk and cost, will be required to arrange for the charging and discharging of power for carrying to carry out operational/ functional test prior to commercial operation as well as for commissioning of the Project. For avoidance of doubt, it is clarified that Synchronization / Connectivity of the Project with the grid shall not to be considered as Commissioning of the Project.
4.1.5 5.1.5 The Power Producer BESSD shall commission the Project as detailed in “Schedule 3: Commissioning Procedure” within SCODeighteen (18) Months or 24 months (as applicable) from the Effective Date of BESPA. Declaration of COD / UCOD shall only be done subject to the demonstration of the compliances as per Schedule-3.
4.1.6 5.1.6 Part commissioning of the Project, without imposition of any liquidated damages in terms of the BESPA, shall be accepted by SECI subject to the condition that the minimum part commissioning capacity for the 1st part will be 50 MW. The Power Producer total number of instalments in which a Project can be commissioned will be not more than 3, i.e., 1st initial instalment of 50 MW and 2 subsequent instalments. However, the SCD will not get altered due to part commissioning. Irrespective of dates of part commissioning or full commissioning, the BESPA will remain in force for the Term as defined in this Agreement.
5.1.7 The Parties agree that for the purpose of commencement of the ▇▇▇▇ capacity by the BESSD to SECI, liquidated damages for delay etc., the Scheduled Commissioning Date (or extended Scheduled Commissioning Date) as defined in this Agreement shall be the relevant date.
5.1.8 The BESSD shall submit requisite documents as mentioned below, at least 30 days prior to trial run of the Project –
i. Intimation regarding the timeline for commencement of supply of power from the Project.
ii. Copy of CON-4 report submitted to CTU.
iii. Installation report duly signed by the authorized signatory. The BESSD is advised to take due care in furnishing such Installation Report.
iv. CEI/CEIG (as applicable) report containing approval for all the components, including Batteries, inverters, transformers, transmission system and protection system, along with all annexures/attachments. It would be the responsibility of the BESSD to obtain the certificate.
v. Approval of metering arrangement/scheme from CTU/GRID-INDIA/ any other concerned authority as applicable.
vi. Plant Layout, Plant (AC & DC) SLD.
vii. Affidavit certifying that the BESSD has obtained all the necessary approvals for commencement of power supply from the Project, and indemnifying SECI against any discrepancies in the above details.
viii. Affidavit from the BESSD certifying possession of land identified for the Project, bearing the details of such land parcels where Project is located, and indemnifying SECI against any discrepancies in the above details.
ix. Documents to establish the compliance of technical requirement as per BESPA/RfS.
x. Invoices against purchase of the Batteries, Inverters/PCUs, SCADA and BMS along with the summary sheet containing the list of all the invoices, inverters including details and number of items. Lorry Receipts for delivery of Project components at site along with certified summary sheet by the authorized signatory. It is clarified that SECI shall bear no responsibility in declaration of commissioning/COD of the Project. However, on the basis of above documents, the BESSD shall be required to obtain Developer and/ or Transfer PermissionNo-objection certificate (NOC)/BESPA Compliance Certificate from SECI prior to declaration of commissioning/COD of the Project. SECI’s scope will be limited to verifying the installation of rated capacity(ies) of the Project, Key Plan drawing etc, if required, from GEDA. In cases of conversion of land from Agricultural to Non-Agriculture, the commissioning shall be taken up by GEDA only upon submission of N.A. permission by the Power Producer.
4.1.7 The Power Producer shall be required to follow the Forecasting and Scheduling procedures as per the Regulations issued COD certificate submitted by Hon’ble GERC from time the BESSD. This verification will be at SECI’s discretion and shall not constitute any certification/confirmation of commissioning/COD of the Project by SECI. Prior to time. It is declaration of commencement of power supply, the BESSD shall submit COD certificate for the corresponding Installed Capacity which has commenced power supply to clarify that in terms SECI as part of GERC (Forecasting, Scheduling, Deviation Settlement and Related Matters of Solar and Wind Generation Sources) Regulations, 2019 the procedures for Forecasting, Scheduling & Deviation Settlment are applicable to all solar generators having combined installed capacity above 1 MW connected to the State Grid / Substation including those connected via pooling stationsrequisite documents.

4.1.3 4.1.3. The synchronization equipment and all necessary arrangements / arrangements/ equipment including Remote Terminal Unit (RTU) for scheduling of power generated from the Project and transmission of data to the concerned authority as per applicable regulation shall be installed by the Hybrid Power Producer Developer at its generation facility of the Power Project at its own cost. The Hybrid Power Producer Developer shall synchronize its system with the Grid System only after the approval of GETCO / STU and SLDC / ALDC and GEDAor MSEDCL.
4.1.4 4.1.4. The Hybrid Power Producer Developer shall immediately after each synchronization / tripping of generator, inform the sub-station of the Grid System to which the Power Project is electrically connected in accordance with applicable Grid Code.
4.1.5 4.1.5. The Power Producer Projects shall commission be commissioned within a period of 15 (Fifteen) months from the date of execution of the PPA or within 8 (Eight) months from the date of handover of land, whichever is earlier.
4.1.6. Part commissioning of the Project within shall be accepted by MSEDCL subject to the condition that the Minimum Capacity for acceptance of first and subsequent part(s) commissioning shall be 50% of the capacity specified by the bidder in its bid for the particular/each site, without prejudice to the imposition of penalty, in terms of the PPA on the part which is not commissioned. Further, the installed capacity at a site shall be given the status of part commissioned only if it fulfills the configuration criteria as per definition of Hybrid Power Developer. However, the SCOD (Schedule Commercial Operation Date) will not get altered due to part- commissioning. Irrespective of dates of part commissioning or full commissioning, the PPA will remain in force for a period of 25 (twenty-five) years from the SCOD.
4.1.6 4.1.7. The Power Producer shall be required early commissioning of project is permitted for full commissioning as well as part commissioning even prior to obtain Developer and/ or Transfer Permission, Key Plan drawing etc, if required, from GEDASCOD subject to the availability of evacuation arrangements. In cases case of conversion early full commissioning, MSEDCL may purchase the generation till SCOD at PPA tariff. In case of land from Agricultural to Non-Agriculture, the part commissioning shall be taken up by GEDA only upon submission of N.A. permission by the Power Producer.

4.1.4 3.8.4 The Solar Power Producer Developer shall immediately after each synchronization / synchronization/tripping of generator, inform the sub-station of the Grid System grid system to which the Power Project is electrically connected in accordance with applicable the Grid CodeCode in force.
4.1.5 3.8.5 The Solar Power Producer Developer shall commission the Project within SCODtwelve (12) Months from the date of execution of this Agreement, and any delay in commissioning of the project shall be subject to the penalties as stipulated in Clause 10.5 of this Agreement.
4.1.6 3.8.6 The Solar Power Producer Developer may undertake the commissioning of the Project in phases and provisions of Clauses 3.8.1 to 3.8.4 shall be required apply mutatis - mutandis for generating units commissioned in phases. However, prior to obtain Developer and/ or Transfer Permission, Key Plan drawing etc, if required, from GEDA. In cases the completion of conversion the synchronization of land from Agricultural to Non-Agriculturethe entire project, the developer shall obtain certification for full Contracted Capacity from the competent authority duly demonstrating the full commissioning shall be taken up by GEDA only upon submission of N.A. permission by the Power ProducerContracted Capacity.
4.1.7 3.8.7 The Solar Power Producer Developer shall be required ensure the connectivity standards applicable to follow the Forecasting and Scheduling procedures solar generating stations as per the Central Electricity Authority (CEA) Regulations issued by Hon’ble GERC and its amendments thereto from time to time.
3.8.8 The Solar Power Developer shall be eligible for a one-time early commissioning incentive as determined below: Time period One-time early commissioning incentive applicable Commissioning between 30 days and 59 days before Scheduled COD INR 2 lakhs per MW of Contracted Capacity Commissioning between 60 days and 89 days before Scheduled COD INR 3 lakhs per MW of Contracted Capacity Commissioning Scheduled COD before 90 days of the INR 5 Lakhs per MW of Contracted Capacity The following conditions shall be applicable for availing early commissioning incentives:
1. It The incentive shall be payable only if the SPD has demonstrated commissioning of full Contracted Capacity as per the provisions of this PPA
2. The incentive shall be a one-time incentive which shall be offset against the Bill for the first Billing Month after the COD of the Project. If the Billing Amount is to clarify that in terms less than the incentive payable, then the balance amount shall be adjusted against the Bill for the second Billing Month after the COD of GERC (Forecasting, Scheduling, Deviation Settlement and Related Matters of Solar and Wind Generation Sources) Regulations, 2019 the procedures for Forecasting, Scheduling & Deviation Settlment are applicable to all solar generators having combined installed capacity above 1 MW connected Project. 4.1.4 The Power Producer shall immediately after each synchronization / tripping of generator, inform the sub-station of the Grid System to which the Power Project is electrically connected in accordance with applicable Grid Code.
4.1.5 The Power Producer shall commission the Project within SCODSCSD. Further, the Power Producer shall submit Land Lease Agreement executed with SPPD in the name of Power Producer on or before SCSD.
4.1.6 The Power Producer shall be required to obtain Developer and/ or Transfer Permission, Key Plan drawing etc, . from GEDA (if required) prior to mounting of panels and submit the same to GUVNL prior to actual commissioning of the project / unit. Further, from GEDA. In cases of conversion of land from Agricultural to Non-Agricultureat this stage, the commissioning shall be taken up by GEDA only upon submission of N.A. permission by the Power Producer.
4.1.7 The Power Producer shall be required to follow the Forecasting and Scheduling procedures technology adopted as per the Regulations issued by Hon’ble GERC Annexure A of RfS or in accordance with MNRE’s Approved List of Models and Manufacturers of Solar PV Modules (Requirements for Compulsory Registration) Order, 2019 as amended from time to time.
