Common use of Technical Matters Clause in Contracts

Technical Matters. All scientific and technical information set forth in the Registration Statement, the Pricing Disclosure Package and the Prospectus relating to the E▇▇▇▇▇▇ Gold Project (as defined therein) and/or any mining properties that are material to the Company has been prepared in accordance in all material respects with the standards set forth in in subpart 1300 of the Commission’ Regulation S-K of the Securities Act and, to the knowledge of the Company, there have been no material changes to such information since the date of delivery or preparation thereof, except as disclosed or included in the Registration Statement, the Pricing Disclosure Package and the Prospectus.
