The Technology and Communications clause defines the rules and expectations regarding the use of technology and electronic communications between the parties involved in an agreement. Technology and Communications. Distributor acknowledges that the use of current technology and communications systems in the operation of the Businesses is of critical importance. Distributor further acknowledges that technology and communications systems are expected to change over time requiring periodic addition, replacement, or updating of equipment or systems used in the Businesses. Accordingly, if required by Global in writing from time to time, Distributor shall comply with the following: (a) Install and maintain in good operating condition and at Distributor’s expense at Distributor’s principal place of business: (1) A facsimile machine for sending and receiving written communications; and (2) Equipment that allows access to the internet or other electronic-transmission or data-communications systems designated by Global from time to time. (b) Subscribe, at Distributor’s expense at Distributor’s principal place of business, to a voicemail system for transmitting and receiving telephonic communications. (c) Make other reasonable expenditures or investments to update equipment, technology and communications systems at Distributor’s principal place of business. Make other reasonable expenditures or investments at any and all Distributor Mobil Branded-Outlets, including without limitation, the addition, replacement or updating of point of purchase equipment, pump dispensing technology, credit and cash processing equipment and software.

Telecommunications/GPS Changes. The NissanConnect Services/MyINFINITI system uses digital wireless telecommunications technology and GPS technology that are outside of our control. Telecommunications technologies have been known to change over time, resulting in the obsolescence of certain telecommunications networks. If the telecommunications infrastructure, the public internet or GPS technology required by the NissanConnect Services/MyINFINITI system changes in a way that results in incompatibility of those technologies with the NissanConnect Services/MyINFINITI system, then the NissanConnect Services/MyINFINITI might not work and we may be forced to terminate your NissanConnect Services/MyINFINITI. If that happens, we will notify you of the effective date of termination and describe each of our rights and obligations. We are not responsible for and do not provide any guarantee or warranty regarding the telecommunications technology and GPS used to support NissanConnect Services/MyINFINITI. We are not responsible for any modifications made by those who provide these technologies, and any loss of service resulting from it.

The Services are also reliant on the network management practices, which are outside of our control, of our wireless Service Provider or the Underlying Carrier. These entities may engage in network management practices that may affect users of the network. Some examples of legitimate network management purposes include: reasonable security practices; to provision of confidentiality, integrity and availability of network services; reasonable measures to address traffic that is harmful to the network and provision of services; violation of such entities’ acceptable use policies; or, where network use exceeds capabilities permitted by the Service as applicable.

Technology and Communications. The District shall provide the Superintendent a smart phone with Internet access, a laptop computer, and other technology and electronic devices as may be deemed appropriate by the Board and Superintendent for effective communication and work productivity. In the event that the Superintendent is conducting business away from the District, a mobile hotspot or other similar device will be provided to ensure access to the Internet. The Parties acknowledge and agree that the above-mentioned communications devices are to be used primarily for District business and may also be used by the Superintendent for incidental personal use. All maintenance and other monthly or recurring charges for the electronic equipment provided pursuant to this paragraph shall be at the expense of the District, shall remain the property of the District, and shall be returned to the District upon termination of this Contract.
