Common use of Template/Pre-Render and Stock Media Restrictions Clause in Contracts

Template/Pre-Render and Stock Media Restrictions. The Element 3D Plug-In and other Products enable You to render and create Your own Works. You cannot pre- render or flatten images created with the Product using Content or other stock media to offer for sale to third parties (except as otherwise indicated below). But You can create a project using the Software so long as no Content/media is pre-rendered and no Content is included, and offer or sell that to third parties. You can sell such a project to others, but not any Content; the purchaser of your project must own or acquire a license to such Content by purchasing the appropriate Product. Once the end user acquires the Product, that person can outsource to you the modification of your project, as indicated in Section 2. The goal is to prevent any ability by You or others to appropriate our technology and Content to compete with our own Package: You have no right to resell our Content, as rendered by you, in any manner that we regard as being in competition with our Content, or to create a business of offering works or templates (whether offered free or for payment) that are renderings or modifications of our Content and may in fact compete with the Package or the Products in our sole discretion. In this regard, no Package Content that You have rendered or any Work that You have created can serve as any sort of stock footage, stock photography or stock media, as animated background or editable media files, or otherwise be offered to the public or compete with the Package or any Product, whether offered for free or payment. The exception to the foregoing is the case where you sell a finished, locked Work that you have rendered (provided that it is NOT your own offering of our Model Packs/Content that could compete with our Products, whether or not rendered, which is strictly prohibited) to a single end user; that is permitted because it will not be further modified or rendered (e.g., the trailer of a film, a film or a commercial). You are also granted the right to transfer a finished, locked Work to a finishing studio for the purpose of broadcast or film- out, provided the studio does not reuse any of your Work for any other production.

Once the end user acquires the Product“End Users” are individuals or Companies that purchase Your finished, that person can outsource locked Productions to you the modification of your project, as indicated in Section 2. But if You sell or any Productoffer Your Productions to template makers who then offer Your pre-rendered Production as part of their template, or to resellers or to stock media companies or websites, whether offered for free or paymentfor pay, such templates or stock media offerings might compete with Video Copilot Products, which is not permitted by this license. The permitted exception to the foregoing is the case where you sell for transfer or sale of a finished, locked Work that you have rendered (provided that it is NOT your Production to a single End User does not grant You the right to Your own offering of our Model Packsmodel packs/Content that could compete with our Video Copilot Products, whether or not rendered, which is strictly prohibited) to a single end user; that is permitted because it will not be further modified or rendered (e.g., the trailer of a film, a film or a commercial). You are also granted the right to transfer a finished, locked Work Production to a finishing studio for the purpose of broadcast or film- film-out, provided the studio does not reuse any of your Work Your Production for any other film or production. (2) Your offer or sale of Your Productions to others cannot include any Content that You have pre-rendered or flattened or rendered into such Productions; the End User purchaser of Your Production must own or acquire a separate license to use/display such Content by purchasing the appropriate Software from Video Copilot. In other words, the raw Content files used to make Your Productions cannot be transferred or distributed. Once the End User acquires the necessary Software, that person can outsource to You its license to the Software so that You or a third party can modify Your Production as necessary for such End User’s desired use/display of Your finished, locked Productions.
