Common use of Termination and Surrender Clause in Contracts

Termination and Surrender. Tenant shall voluntarily surrender the Premises as provided in this Agreement. Tenant agrees to cooperate reasonably with Landlord in all matters, as applicable, relating to surrendering the Premises in accordance with the surrender requirements set forth in the Lease and in the condition required pursuant to the Lease; provided, however, that, notwithstanding anything to the contrary contained in the Lease, Tenant shall not be required (i) to remove or restore the existing Tenant Improvements in the Premises or any other improvements or alterations existing in the Premises as of the Effective Date of this Agreement, (ii) to remove any wires, cables or similar equipment, which Tenant has installed in the Premises or in the risers or plenums of the Building, or (iii) to remove any furniture, fixtures or equipment that Tenant does not intend to relocate to the Relocation Premises. For the avoidance of doubt, except as otherwise expressly provided in the immediately preceding sentence, Tenant shall be required to complete all decommissioning and surrender obligations under the Lease, including without limitation, the Decommissioning and HazMat Closure Plan. After the Termination Date occurs with respect to a portion of the Premises, Tenant shall have no further rights of any kind with respect to such portion of the Premises. Notwithstanding the foregoing, as provided in Section 5 hereof, those provisions of the Lease which, by their terms, survive the termination of the Lease shall survive the surrender of the Premises and termination of the Lease provided for herein. 5.

Notwithstanding anything in the Lease to the contrary contained in the Leasecontrary, Tenant shall not be required to remove from the Premises on or before the Termination Date (i) to remove or restore the existing Tenant Improvements in the Premises or any other improvements or alterations existing in the Premises as of the Effective Date of this Agreement, (ii) to remove any wires, cables or similar equipmentequipment installed by Tenant at the Premises; (ii) any Installations or any Notice-Only Alterations; (iii) the Monument Sign, which or any other signage installed by Tenant has installed in at the Premises or in (iv) the risers or plenums of the Building, or (iii) to remove any furniture, fixtures or equipment that Tenant does not intend to relocate to the Relocation Premises. For the avoidance of doubt, except as otherwise expressly provided in the immediately preceding sentence, Tenant shall be required to complete all decommissioning Personal Property listed on Exhibit A and surrender obligations under the Lease, including without limitation, the Decommissioning and HazMat Closure Plan. Exhibit B. After the Termination Date occurs with respect to a portion of the PremisesDate, Tenant shall have no further rights of any kind with respect to such portion of the Premises. Notwithstanding the foregoing, as provided in Section 5 6 hereof, those provisions of the Lease which, by their terms, survive the termination of the Lease shall survive the surrender of the Premises and termination of the Lease provided for herein. 5.

Tenant agrees to cooperate reasonably with Landlord in all matters, as applicable, relating to surrendering the Premises in accordance with the surrender requirements set forth in the Lease and as otherwise provided in this Agreement; provided however that for the avoidance of doubt and notwithstanding anything herein or in the condition required pursuant Lease to the Lease; providedcontrary, howeverTenant shall have no obligation to perform or pay for any repair, thatreplacement or restoration of or to the Premises, notwithstanding the Building or the Project, or any removal of any systems, improvements and/or Alterations if the Premises are delivered to Landlord in the same condition on the Termination Date as they are on date of this Agreement, ordinary wear and tear and casualty loss and condemnation excepted. After the Termination Date, Tenant shall have no further rights of any kind with respect to the Premises. Notwithstanding anything to the contrary contained in the Lease, Tenant shall not be required (i) to remove return or restore the existing Tenant Improvements in the Premises surrender any access keys or key cards or perform or pay for any other improvements repairs or alterations existing in the Premises as of the Effective Date of this Agreement, (ii) replacements to remove any wires, cables or similar equipment, which Tenant has installed in the Premises or in the risers or plenums of the Building, or (iii) to remove any furniture, fixtures or equipment that Tenant does not intend to relocate to the Relocation Premises. For the avoidance of doubt, except as otherwise expressly provided in the immediately preceding sentence, Tenant shall be required to complete all decommissioning and surrender obligations under the Lease, including without limitation, the Decommissioning and HazMat Closure Plan. After the Termination Date occurs with respect to a portion of the Premises, the Building or the Project after the date of this Agreement unless such repairs or replacements are caused by Tenant shall have no further rights or any Tenant Parties after the date of any kind with respect this Agreement (subject to such portion the penultimate paragraph of Section 17 of the PremisesLease). Notwithstanding the foregoing, as provided in Section 5 6 hereof, those provisions of the Lease which, by their terms, survive the termination of the Lease shall survive the surrender of the Premises and termination of the Lease provided for herein. 5.
