Termination During a Post-Disaggregation Period: Indemnification Sample Clauses

This clause defines the parties' rights and obligations regarding indemnification if the contract is terminated during a post-disaggregation period. In practice, it specifies which party is responsible for covering losses, damages, or liabilities that arise as a result of the termination after the business or assets have been separated. For example, if one party incurs costs due to claims made after the disaggregation, the clause determines who must compensate for those costs. Its core function is to allocate risk and financial responsibility between the parties, ensuring that liabilities arising from the transition period are clearly addressed.
Termination During a Post-Disaggregation Period: Indemnification. The Executive shall be indemnified and held harmless by the Company to the same extent as provided in Section 4.1(g).
