Common use of Termination Obligations Clause in Contracts

Termination Obligations. The Executive agrees that on or before termination of employment, he will promptly return to the Company all documents and materials of any nature pertaining to his work with the Company, including all originals and copies of all or any part of any Proprietary Information or Inventions (as defined below) along with any and all equipment and other tangible and intangible property of the Company. The Executive agrees not to retain any documents or materials or copies thereof containing any Proprietary Information or Inventions. The Executive further agrees that: (i) all representations, warranties, and obligations under Articles 6, 7, 8, 10, 11, 12, 14.1, 14.2 and 14.3 contained in this Agreement shall survive the termination of the Period of Employment; (ii) the Executive's representations, warranties and obligations under Articles 6, 7, 8, 10, 11, 12, 14.1, 14.2 and 14.3 shall also survive the expiration of this Agreement; and (iii) following any termination of the Period of Employment, the Executive shall fully cooperate with the Company in all matters relating to his continuing obligations under this Agreement, including but not limited to the winding up of pending work on behalf of the Company, the orderly transfer of work to the other employees of the Company, and the defense of any action brought by any third party against the Company that relates in any way to the Executive's acts or omissions while employed by the Company. The Executive also agrees to sign and deliver the Termination Certificate attached hereto as Exhibit A prior to his termination of employment with the Company.

The Executive also agrees to sign and deliver the Termination Certificate attached hereto as Exhibit A prior to his her termination of employment with the Company.

The Executive Employee further agrees that: (i) all representations, warranties, and obligations under Articles 6Sections 4, 5, 7, 8, 1010.1, 11, 12, 14.1, 14.2 10.2 and 14.3 10.3 contained in this Agreement shall survive the termination of the Period of EmploymentEmployee’s employment; (ii) the Executive's Employee’s representations, warranties and obligations under Articles 6Sections 4, 5, 7, 8, 1010.1, 11, 12, 14.1, 14.2 10.2 and 14.3 10.3 shall also survive the expiration of this Agreement; and (iii) following any termination of the Period of Employmentemployment, the Executive Employee shall fully cooperate with the Company in all matters relating to his Employee’s continuing obligations under this Agreement, including but not limited to the winding up of pending work on behalf of the Company, the orderly transfer of work to the other employees of the Company, and the defense of any action brought by any third party against the Company that relates in any way to the Executive's Employee’s acts or omissions while employed by the Company. The Executive also agrees to sign and deliver the Termination Certificate attached hereto as Exhibit A prior to his termination of employment with the Company.

The Executive also agrees to sign and deliver the Termination Certificate attached hereto as Exhibit A C prior to his termination of employment with the Company.

Termination Obligations. The Executive Company agrees that its obligation to pay the consideration to the Key Employee will not be affected in anyhow no matter this Agreement is terminated for any reason as stated in Section 4 and 5 above. The Key Employee agrees that on or before termination of employment, he will promptly return to the Company all documents and materials of any nature pertaining to his his/her work with the Company, including all originals and copies of all or any part of any Proprietary Information or Inventions (as defined below) along with any and all equipment and other tangible and intangible property of the Company. The Executive Key Employee agrees not to retain any documents or materials or copies thereof containing any Proprietary Information or Inventions. The Executive Key Employee further agrees that: (i) all representations, warranties, and obligations under Articles 6, 7, 8, 10, 11, 12, 14.1, 14.2 and 14.3 contained in this Agreement shall survive the termination of the Period of Employment; (ii) the ExecutiveKey Employee's representations, warranties and obligations under Articles 6, 7, 8, 10, 11, 12, 14.1, 14.2 and 14.3 shall also survive the expiration of this Agreement; and (iii) following any termination of the Period of Employment, the Executive Key Employee shall fully cooperate with the Company in all matters relating to his his/her continuing obligations under this Agreement, including but not limited to the winding up of pending work on behalf of the Company, the orderly transfer of work to the other employees of the Company, and the defense of any action brought by any third party against the Company that relates in any way to the ExecutiveKey Employee's acts or omissions while employed by the Company. The Executive Key Employee also agrees to sign and deliver the Termination Certificate attached hereto as Exhibit A C prior to his his/her termination of employment with the Company.

The Executive also agrees to sign and deliver the Termination Certificate attached hereto as Exhibit A prior to his termination of employment with the Company.

Termination Obligations. (i) The Executive hereby acknowledges and agrees that on all personal property and equipment furnished to or before termination prepared by the Executive in the course of employment, he will promptly return or incident to his employment belong to the Company and shall, if physically returnable, be promptly returned to the Company upon termination of his employment. “Personal property” includes, without limitation, all documents books, manuals, records, reports, notes, contracts, lists, blueprints, and materials other documents, computer media or materials, or copies thereof, and Proprietary Information (as defined in Section 5(a) below), but does not include the Executive’s rolodex or address book. Following termination, the Executive will not retain any written or other tangible material containing any Proprietary Information. (ii) Upon termination of his employment, the Executive shall be deemed to have resigned from all offices and directorships then held with the Company or any nature pertaining Affiliated Company, and will execute a letter of resignation if requested. (iii) The Executive’s obligations under Sections 4(b), 4(c), 5, 7 and 14, and the Company’s obligations under Sections 3(c) (in accordance with the terms of the applicable plan), 3(d), 3(f), 4, 6, 14, 16 and this Section 4(c)(iii), and the Executive’s entitlement to payment or reimbursement of his work business expenses incurred in accordance with the Company’s policy through the Date of Termination, including all originals and copies of all or any part of any Proprietary Information or Inventions (as defined below) along with any and all equipment and other tangible and intangible property of the Company. The Executive agrees not to retain any documents or materials or copies thereof containing any Proprietary Information or Inventions. The Executive further agrees that: (i) all representations, warranties, and obligations under Articles 6, 7, 8, 10, 11, 12, 14.1, 14.2 and 14.3 contained in this Agreement shall survive the termination of the Period of Employment; (ii) the Executive's representations’s employment and, warranties and obligations under Articles 6other than Section 4(b), 7, 8, 10, 11, 12, 14.1, 14.2 and 14.3 shall also survive the expiration of this Agreement; and (iii) following any termination of the Period of Employment, the Executive shall fully cooperate with the Company in all matters relating to his continuing obligations under this Agreement, including but not limited to the winding up of pending work on behalf of the Company, the orderly transfer of work to the other employees of the Company, and the defense of any action brought by any third party against the Company that relates in any way to the Executive's acts or omissions while employed by the Company. The Executive also agrees to sign and deliver the Termination Certificate attached hereto as Exhibit A prior to his termination of employment with the Company.

The Executive also agrees to sign and deliver the Termination Certificate attached hereto as Exhibit A prior to his termination of employment with the Company.

Termination Obligations. In exchange for the Company entering into the Agreement and payment of the Severance Payments provided for in Sections 6(b) and 6(e) herein, the Executive agrees that, at the time of his resignation or termination from the Company: (i) The Executive agrees that on or before termination of employment, he will promptly return to the Company all documents personal property, both tangible and materials intangible, furnished to or prepared by the Executive in the course of any nature pertaining or incident to his work employment, the Executive hereby acknowledging and agreeing that such property belongs to the Company, such that following termination the Executive will not retain any written or other tangible material containing any proprietary information of the Company. "Personal property" includes, without limitation, all computers, cellular phones, company credit cards, access keys, books, manuals, records, reports, notes, contracts, lists and other documents or materials, or copies thereof (including computer files), and all other proprietary information relating to the business of the Company. (ii) The Executive will tender his resignation from all offices and directorships then held with the Company; Executive, however, shall not be required to tender his resignation from the Board of Directors of the Company. (iii) The Executive will execute a release acceptable to the Company of all liability of the Company, and its directors, officers, shareholders, employees, agents and attorneys, to the Executive in connection with or arising out of his employment with the Company, including all originals and copies of all except with respect to any Severance Payments under Sections 6(b) or any part of any Proprietary Information or Inventions (as defined below6(d) along with any and all equipment and other tangible and intangible property which may be payable to him under the terms of the Company. Agreement. (iv) The Executive agrees not to retain any documents or materials or copies thereof containing any Proprietary Information or Inventions. The Executive further agrees that: (i) all representations, warranties, representations and warranties contained herein and the Executive's obligations under Articles 6Sections 5(d), 7, 8, 10, 11, 12, 14.1, 14.2 9 and 14.3 contained in this Agreement 15 through 18 shall survive the termination of the Employment Period of Employment; (ii) the Executive's representations, warranties and obligations under Articles 6, 7, 8, 10, 11, 12, 14.1, 14.2 and 14.3 shall also survive the expiration of this Agreement; and (iii) following any termination of the Period of Employment, the Executive shall fully cooperate with the Company in all matters relating to his continuing obligations under this Agreement, including but not limited to the winding up of pending work on behalf of the Company, the orderly transfer of work to the other employees of the Company, and the defense of any action brought by any third party against the Company that relates in any way to the Executive's acts or omissions while employed by the Company. The Executive also agrees to sign and deliver the Termination Certificate attached hereto as Exhibit A prior to his termination of employment with the Company.
