Common use of Termination of the Right to Use Clause in Contracts

Termination of the Right to Use. Upon termination of this Agreement for any reason, any right to use the System and access to the Data Access Services shall terminate and the Customer shall immediately cease use of the System and the Data Access Services. Immediately upon termination of this Agreement for any reason, the Customer shall return to State Street all copies of documentation and other Proprietary Information in its possession and State Street shall return to Customer all Customer Data in its possession; provided, however, that in the event that either party terminates this Agreement or the Custodian Contract for any reason other than the Customer's breach, State Street shall provide the Data Access Services for a period of time and at a price to be agreed upon by the parties. Should State Street be in possession of information requested by regulatory agencies having jurisdiction over the Customer, State Street will cooperate with the Customer to make such information available to such regulatory agencies for a commercially reasonable time following termination of this Agreement.
