Common use of Terms and Conditions Pertaining to Performance of Duties Clause in Contracts

Terms and Conditions Pertaining to Performance of Duties. The terms, conditions and limitations applicable in respect to the exercise and performance by the Corporation of its duties set forth in the Administration Agreement are hereby incorporated herein by reference and the parties hereto agree that such terms, conditions and limitations shall apply in all respects to the Corporation in the exercise and performance of the duties set out herein as fully as if such rights, restrictions and limitations were set forth herein. The terms, conditions and limitations as contained in this Trust Indenture pertaining to the exercise and performance by the Corporation of its duties shall be construed, as far as possible, so as not to conflict with the terms, conditions and limitations contained in the Administration Agreement, however in the case of conflict the terms, conditions and limitations contained in the Administration Agreement shall govern.
