Testing & Acceptance. 8.1 Where testing is required under a Call-Off Contract, the provisions of this clause 8 shall apply to such testing unless otherwise specified.
8.2 The Contractor shall perform inspections, acceptance and quality tests before the delivery of any relevant parts of the Services under a Call-Off Contract, before delivery of the same to DCC (the “Acceptance Tests”). DCC shall be entitled to nominate DCC personnel to attend such testing. The Contractor shall provide its testing results to DCC, in the form requested by DCC at such time.
8.3 The Contractor shall provide all such assistance, cooperation and support to DCC as requested to facilitate the Acceptance Tests and in doing so shall comply with DCC's project management, quality and testing methodologies to the extent reasonably required.
8.4 DCC shall give written notice to the Contractor once the Services pass their Acceptance Tests to the DCC's reasonable satisfaction. Regardless of any other communication from the DCC, acceptance may only be given by written notice to the Contractor.
8.5 If the Services (or any part thereof) fail their Acceptance Tests then at the DCC's option:
8.5.1 The Contractor shall promptly analyse and report to DCC on the root cause of such failure and then modify the Services (or relevant parts thereof) to the extent the DCC reasonably determines is necessary for it to pass repeated Acceptance Tests;
8.5.2 DCC may provide acceptance of the Services (or relevant parts thereof) subject to conditions, which may include the condition that the Contractor remedies certain defects by a certain date; or
8.5.3 DCC may provide acceptance of the Services (or relevant parts thereof) subject to a reduction in the Charges (as determined by DCC acting reasonably) to reflect the reduced value of those Services (or relevant parts thereof) or the estimated cost of DCC remedying those Services (or relevant parts thereof) itself or using a third party to do so.
8.6 Where repeated Acceptance Tests are performed in accordance with clause 8.5.1:
8.6.1 The Contractor shall bear its own costs and reimburse (upon request) DCC for its reasonable costs incurred in performing such repeated Acceptance Tests;
8.6.2 Where DCC has still not provided acceptance within 10 (ten) Working Days of those Services (or relevant parts thereof) initially failing their Acceptance Tests, DCC may exercise its other options in accordance with this clause 8.5; and

Testing & Acceptance. 5.1. The Buyer shall carry out acceptance testing on the Deliverables in accordance with the processes described in the Order Form in order to test the compliance of the relevant Deliverable(s) with the acceptance criteria for each Deliverable (the "Acceptance Criteria").
5.2. The Parties will agree the Acceptance Criteria for each acceptance test prior to the relevant date specified in the Order Form.
5.3. The Buyer shall provide to the Supplier written indication of acceptance as soon as any Technical Deliverable has successfully completed an acceptance test by achieving the Acceptance Criteria. Such written indication of acceptance shall be provided by the Buyer to the Supplier within 5 Working Days of the successful conclusion of any acceptance test. If the Supplier has not received notice from the Buyer of the unsuccessful conclusion of the relevant acceptance test within 5 Working Days of the end of the relevant test, or if the Buyer makes live operational use of the relevant Technical Deliverable(s), such Technical Deliverable(s) will be deemed accepted by the Buyer (and the relevant Implementation Services completed).
5.4. If any acceptance test demonstrates that any Technical Deliverable(s) materially fails to satisfy the relevant Acceptance Criteria, the Buyer may require the Supplier to correct the Technical Deliverable(s) and to make them available to the Buyer within a reasonable time for the Buyer to re-perform the acceptance tests on the corrected Technical Deliverable(s). For the avoidance of doubt, the re- performed tests shall be to meet the same Acceptance Criteria as the original tests. The Supplier shall carry out such correction activities at no additional charge to the Buyer.
5.5. If any failure of a Technical Deliverable to achieve an Acceptance Criteria is as a result of an act and/or omission attributed to the Buyer and/or a third party, the Supplier shall at our reasonable discretion use reasonable endeavours to provide assistance to the Buyer subject always to the Buyer reimbursing the Supplier at our time and materials fee rates.
Testing & Acceptance. Testing Phase: Upon completion of the web design and development phase, CeJay will conduct both functional and performance testing of the website using devices available, typically Windows computers, Android/Apple Cell phones and Android/Apple tablets. This ensures it meets the agreed-upon specifications and functions correctly across different browsers and devices. • Client Review: Client will then have a review period of 7 days to test and review the website. During this period, Client must notify CeJay of any discrepancies between the delivered website and the agreed-upon specifications. • Corrections: CeJay will address and correct any reported discrepancies within a reasonable time frame. • Acceptance: If no discrepancies are reported by Client within the review period, or once all reported discrepancies are addressed, the website will be considered accepted by Client. • 30 days of free post-launch support is provided to address bugs, provide guidance, or perform small content edits • After that, maintenance is available at our regular hourly rate, currently $85/hour, with a minimum of 15 minutes billed ($21.25) for a month in which work was done. See “Pay-as-you-go Maintenance” section below for details. • We use a time-tracking system with a goal of providing monthly invoices. If you want additional details, please let us know • Quarterly Updates: When hosting on our server, quarterly updates are performed utilizing an auto-update service to ensure security and compatibility with the latest browsers and devices. Within twelve (12) business days after AQUA THIRST completion of compounding, filling, and or manufacturing and packaging of each order and not later than 12 business days prior to the relevant Delivery Date, AQUA THIRST shall deliver to PROTON any product samples that may be required under the term and guidelines of this agreement.

Testing and acceptance criteria for all other deliverables will be described in an applicable DES or, if not so available, will be mutually agreed upon between the parties.

The Purchased Hardware shall be deemed accepted unless ZIP is notified in writing of a material defect within three (3) business days of receipt of the Purchased Hardware by the Client. ZIP shall have a reasonable opportunity to correct, replace or provide functional "workarounds" for all items or to commence corrective action and proceed with reasonable diligence to completion.

Testing & Acceptance. The parties shall mutually agree in writing the acceptance criteria that will be used to determine whether the Supplier Software is Accepted or Rejected (“Acceptance Criteria”), and in the absence of such agreement the Acceptance Criteria shall be such criteria recommended by the Supplier that demonstrate that the Supplier Software complies with relevant supplier specification(s).

At the end of each project stage or as set out in the relevant Project Plan, the Service Providers shall deliver the relevant Project Deliverable, where such Project Deliverable is capable of testing, to the Customer for acceptance testing in accordance with this Clause ("ACCEPTANCE TEST PROCESS"). The Customer shall (without prejudice to any rights or remedies hereunder), in accordance with the timelines of the Project Plan, either accept or reject the relevant Project Deliverable. The Customer shall only be entitled to reject any such Project Deliverable if it deviates from or fails the specifications (and/or the relevant part of the Project Specification) set forth in the applicable Statement of Work or otherwise fails to comply with the terms hereof (except where any such failure is attributable to an Event of Force Majeure or to any act or omission of the Customer itself or of its Sub-contractors) and notifies the Service Providers of such fact in writing fully describing the reason for such rejection. The Customer shall be deemed to have accepted the relevant Project Deliverable if the Customer fails to accept or reject this within the applicable testing period set out in the Project Plan. Once a Project Deliverable is agreed and signed-off by the Customer, the Service Providers will commence work on the next project stage (as set out in the relevant Project Plan). In the event that the Customer rejects the relevant Project Deliverable in accordance with the above, the Service Providers shall promptly modify the relevant Project Deliverable so that it conforms with the relevant specification and/or the relevant part of the Project Specification and submit the same for repeat testing by the Customer in accordance with this Clause 2.7. If the relevant Project Deliverable fails the acceptance tests on more than three occasions the Customer shall be entitled to terminate this Agreement immediately on notice. In the event of such termination, the Service Providers shall promptly refund all monies already paid by the Customer hereunder in respect of the relevant Statement of Work.
