TFC Services to A/E. TFC shall provide, or cause to be provided, the following services to A/E. 5.1.2.1. Upon A/E’s receipt of general and criminal background check clearance, assist A/E in obtaining such access to the Sites as is reasonably necessary to enable A/E to provide the Professional Services. 5.1.2.2. Designate the TFC Project Manager who will supervise the design and construction of the Project and the services being provided pursuant to this Agreement and the respective Contract Documents. 5.1.2.3. Provide intermediate reviews of the work product of A/E as necessary to allow A/E to proceed with delivery of the Professional Services in a timely manner.
TFC Services to A/E. TFC may further assist A/E as follows: 3.1.2.1 Upon A/E’s receipt of general and criminal background check clearance, TFC may provide assistance to A/E to obtain access to the Site as is reasonably necessary to enable A/E to provide the Professional Services. 3.1.2.2 TFC shall designate the TFC Project Manager who will provide supervision the design and construction of the Project and the Professional Services. 3.1.2.3 TFC may designate a PMP for the Project to provide certain Project management services in addition to those provided by TFC Project Manager. The PMP will provide overall management of the Project, with a scope of services as further defined in the PMP definition above and in the Project Management Professional Agreement, but which shall include, but shall not be limited to, the following Deliverables: Planning, management, and coordination of the Project as further defined in the Project Management Professional Agreement, a copy of which shall be provided upon request to A/E; Providing an initial Project program scope and strategy for implementation of the scope; Review of solicitation documents and other contractual templates and provide recommendations on same; Development and management of the Project cost control system; Development and monitoring of a master schedule and integration with Project cost control system; Development of quality control plan; Management of EPMCS; HUB/S/M/WBE outreach and compliance consultation; MEP project planning services; Estimating services; Peer review of designed systems, including MEP, building envelope, roofing, weatherproofing, elevators, architectural and structural systems and utilities and civil site development; Reporting; and Such other Deliverables as may be developed or assigned to PMP by TFC. A/E shall, at all times, work collaboratively with PMP, CMR, and the TFC Project Manager as well as other members of the Project Team and shall work to help integrate its Services with those of the PMP and TFC Project Manager throughout the Project. 3.1.2.4 TFC may review and comment on Deliverables submitted by the A/E in such a manner as to avoid unreasonable delay in the progress of the A/E’s work. No approvals, comments, decisions or acceptances by, or on behalf of, TFC shall be deemed to be an assumption of responsibility by TFC for any defect, error, or omission in said Deliverables or in A/E’s performance of Professional Services.

  • Services to Others Manager understands, and has advised Fund’s Board of Trustees, that Sub-Adviser now acts, or may in the future act, as an investment adviser to fiduciary and other managed accounts, and as investment adviser or sub-investment adviser to one or more other investment companies that are not a series of the Fund, provided that whenever the Fund and one or more other investment advisory clients of Sub-Adviser have available funds for investment, investments suitable and appropriate for each will be allocated in a manner believed by Sub-Adviser to be equitable to each. Manager recognizes, and has advised Fund’s Board of Trustees, that in some cases this procedure may adversely affect the size of the position that the Fund may obtain in a particular security. It is further agreed that, on occasions when the Sub-Adviser deems the purchase or sale of a security to be in the best interests of the Fund as well as other accounts, it may, to the extent permitted by applicable law, but will not be obligated to, aggregate the securities to be so sold or purchased for the Fund with those to be sold or purchased for other accounts in order to obtain favorable execution and lower brokerage commissions. In addition, Manager understands, and has advised Fund’s Board of Trustees, that the persons employed by Sub-Adviser to assist in Sub-Adviser’s duties under this Agreement will not devote their full such efforts and service to the Fund. It is also agreed that the Sub-Adviser may use any supplemental research obtained for the benefit of the Fund in providing investment advice to its other investment advisory accounts or for managing its own accounts.

  • SERVICES TO THE COMPANY In consideration of the Company’s covenants and obligations hereunder, Indemnitee will serve or continue to serve as an officer, director, advisor, key employee or in any other capacity of the Company, as applicable, for so long as Indemnitee is duly elected or appointed or retained or until Indemnitee tenders his or her resignation or until Indemnitee is removed. The foregoing notwithstanding, this Agreement shall continue in full force and effect after Indemnitee has ceased to serve as a director, officer, advisor, key employee or in any other capacity of the Company, as provided in Section 17. This Agreement, however, shall not impose any obligation on Indemnitee or the Company to continue Indemnitee’s service to the Company beyond any period otherwise required by law or by other agreements or commitments of the parties, if any.

  • Services to Others Clients Nothing contained in this Agreement shall limit or restrict (i) the freedom of the Sub-adviser, or any affiliated person thereof, to render investment management and corporate administrative services to other investment companies, to act as investment manager or investment counselor to other persons, firms, or corporations, or to engage in any other business activities, or (ii) the right of any director, officer, or employee of the Sub-adviser, who may also be a director, officer, or employee of the Fund, to engage in any other business or to devote his or her time and attention in part to the management or other aspects of any other business, whether of a similar nature or a dissimilar nature.

  • Information Services Traffic 5.1 For purposes of this Section 5, Voice Information Services and Voice Information Services Traffic refer to switched voice traffic, delivered to information service providers who offer recorded voice announcement information or open vocal discussion programs to the general public. Voice Information Services Traffic does not include any form of Internet Traffic. Voice Information Services Traffic also does not include 555 traffic or similar traffic with AIN service interfaces, which traffic shall be subject to separate arrangements between the Parties. Voice Information services Traffic is not subject to Reciprocal Compensation as Local Traffic under the Interconnection Attachment. 5.2 If a Reconex Customer is served by resold Verizon Telecommunications Service or a Verizon Local Switching UNE, subject to any call blocking feature used by Reconex, to the extent reasonably feasible, Verizon will route Voice Information Services Traffic originating from such Service or UNE to the Voice Information Service platform. For such Voice Information Services Traffic, unless Reconex has entered into an arrangement with Verizon to ▇▇▇▇ and collect Voice Information Services provider charges from Reconex’s Customers, Reconex shall pay to Verizon without discount the Voice Information Services provider charges. Reconex shall pay Verizon such charges in full regardless of whether or not it collects such charges from its own Customers. 5.3 Reconex shall have the option to route Voice Information Services Traffic that originates on its own network to the appropriate Voice Information Services platform(s) connected to Verizon’s network. In the event Reconex exercises such option, Reconex will establish, at its own expense, a dedicated trunk group to the Verizon Voice Information Service serving switch. This trunk group will be utilized to allow Reconex to route Voice Information Services Traffic originated on its network to Verizon. For such Voice Information Services Traffic, unless Reconex has entered into an arrangement with Verizon to ▇▇▇▇ and collect Voice Information Services provider charges from Reconex’s Customers, Reconex shall pay to Verizon without discount the Voice Information Services provider charges. Reconex shall pay Verizon such charges in full regardless of whether or not it collects such charges from its own Customers. 5.4 Reconex shall pay Verizon such charges in full regardless of whether or not it collects charges for such calls from its own Customers. 5.5 For variable rated Voice Information Services Traffic (e.g., NXX 550, 540, 976, 970, 940, as applicable) from Reconex Customers served by resold Verizon Telecommunications Services or a Verizon Local Switching Network Element, Reconex shall either (a) pay to Verizon without discount the Voice Information Services provider charges, or (b) enter into an arrangement with Verizon to ▇▇▇▇ and collect Voice Information Services provider charges from Reconex’s Customers. 5.6 Either Party may request the other Party provide the requesting Party with non discriminatory access to the other party’s information services platform, where such platform exists. If either Party makes such a request, the Parties shall enter into a mutually acceptable written agreement for such access. 5.7 In the event Reconex exercises such option, Reconex will establish, at its own expense, a dedicated trunk group to the Verizon Information Service serving switch. This trunk group will be utilized to allow Reconex to route information services traffic originated on its network to Verizon.
