The Deliverables. The HSP agrees to provide the Deliverables on the terms and conditions of this PFA including all Appendices and schedules thereto.
The Deliverables. 3.1 The Company agrees to perform the Deliverables in accordance with the Conditions. Certain features of the Services may be subject to additional guidelines, terms or rules, which will be posted on the Company’s website in connection with such features.
3.2 For the avoidance of doubt, the Agreement shall not relate to the provision of any Construction Services. Any provision of Construction Services by the Company shall be subject to a separate agreement between the Parties.
3.3 In delivering the Deliverables, the Company will exercise reasonable skill and care consistent with normal professional standards in compliance with applicable codes of conduct.
3.4 The Contractor represents and warrants that in respect of receiving the Deliverables: (a) all required information that the Contractor submits shall be truthful and accurate; and (b) the Contractor will maintain the accuracy of such information. All drawings provided by the Contractor to the Company must be of a suitable quality to reasonably allow the Company to provide the Services, and shall be in one of the following formats: .rvt, .dwg, .ifc or .pdf.
3.5 The Quotation and any subsequent Installation Design shall be based upon the System Requirements that shall be provided by the Contractor.
3.6 The Contractor agrees and understands, and shall be responsible for ensuring that the Owner understands, that –
(a) there must be a System Services Agreement in place between the Company and the Owner in respect of the System prior to the Company providing the Commissioning Services. The Company shall have no liability for any delay in the provision of Commissioning Services attributable to the absence of such System Services Agreement;
(b) following completion of the Services, some or all of the System Services (including the Owner’s ability to use or control certain core functionalities of the System) will not be accessible to the Owner in respect of a System without: (i) a System Services Agreement between the Owner and the Company; (ii) a System that has been properly installed and fully commissioned; (iii) an enabled and supported internet device, such as a phone or tablet (required for some features and functionalities of the System Services); (iv) always-on broadband Internet access in the Property with bandwidth sufficient to support the System Services used; and (v) other system elements that may be specified by the Company from time to time; and

The Deliverables. All deliverables under this Contract (including meetings under Article I.B.2) shall be collectively referred to as “Deliverables.” (Note: TIO shall add provisions after each deliverable stating their delivery dates).
1. The Contractor shall provide the following Deliverables as set out below:

The Deliverables. 2.1 The Deliverables shall conform in all respects with: (i) any samples provided by either party; (ii) any particulars specified in this Contract; and (ii) any variations agreed by us in writing thereto.
2.2 The Deliverables shall conform in all respects with the requirements of any statutes, orders, regulations and bye-laws from time to time in force.
2.3 The Deliverables shall be: (i) of satisfactory quality; (ii) free from defects in material and workmanship; and (iii) fit and sufficient for the purpose for which such Deliverables are ordinarily used and for any particular purpose made known to You by Us. We rely on your skill and judgement in the supply of the Deliverables and the execution of this Contract.
2.4 Any Services shall be performed by appropriately qualified and trained personnel using reasonable skill and care and to a high standard of quality in accordance with generally recognised commercial practices.
The Deliverables. As part of the Scope of Services the CONSULTANT shall provide to the VILLAGE the following Deliverables: See “Scope of Services” as listed in Exhibit “2.”
The Deliverables. Patriot agrees to provide, and Client agrees to purchase from Patriot, the Deliverables identified in the Proposal pursuant to the terms and conditions set forth in the Agreement. If there is any conflict between these Terms, on the one hand, and the Proposal, on the other, the Proposal shall control. The Deliverables shall not include (i) third-party AV and EDR technologies; and (ii) Microsoft Defender for Cloud and Azure ARC.
The Deliverables. MSRX will use its best efforts to develop a mint flavored version of its current Benzydamine film according to the specifications described in Annex 1 (the “Specifications”). Parties agree that ▇▇▇▇▇▇▇▇ will review if the excipients contained in the formulation comply with the excipients regulations described in Annex 1. Following acceptance of the formulation by ▇▇▇▇▇▇▇▇, MSRX - on its production equipments - will make at least 3 (three) batches. Each batch will contain 300,000 film strips (the “Deliverables”). The Deliverables will be delivered to ▇▇▇▇▇▇▇▇ within 10 (ten) labour day, from packaging of strips, by and at the cost of MSRX. For the production of the Deliverables, ▇▇▇▇▇▇▇▇ agrees to supply to MSRX not more than 25 kg of Benzydamine, free of charge, therefore all the quantities of Benzydamine - ordered by MSRX - exceeding 25 kg shall be supplied at the price of USD[*]/kg Ex Works ▇▇▇▇▇▇▇▇ Manufacturing Site.
The Deliverables. Statement of Requirements
4.1 The Deliverables to be supplied by the Contractor under this Agreement are detailed in Schedule 2. Project Definition Plan
4.2 The Contractor warrants that:
(a) the Project Definition Plan will meet the requirements of this Agreement; and
(b) that the Project Definition Plan is fit for its intended purpose. The Contractor is responsible for ensuring that all of the requirements of the Project Definition Plan are complied with at the Contractor’s cost. 4.3 When requested by SUT’s Delegate, the Contractor must submit a schedule detailing the dates and times by which each Stage of the Deliverables is due to be completed in a format to be agreed between the Parties in accordance with the Project Definition Plan. Suspension of Project Definition Plan
4.4 SUT may at any time request the Contractor to suspend or postpone the progress of any one
(1) or more Stages within the Project Definition Plan. If SUT makes such a request, the Contractor must:
(a) suspend or postpone the progression of the relevant Stage(s) in accordance with SUT’s request;
(b) adjust the Project Definition Plan to account for the suspension or postponement and provide a revised schedule of Stages;
(c) not charge SUT for any costs (including but not limited to delay costs) associated with the suspension or postponement, if the period of suspension or postponement is within six (6) months of the original Project Definition Plan. University Shutdown
4.5 The Contractor must ensure that the Project Definition Plan includes a Stage for the SUT shutdown period which occurs annually from mid-December to mid-January (Shutdown Period). The Contractor must not:
(a) submit any invoice to SUT for payment;
(b) deliver any Deliverable to SUT; and
(c) require any SUT personnel to perform any obligation or activity, during the Shutdown Period, without obtaining the prior written consent of the SUT Delegate.

If more than 2 years have expired since the End Date the renewal will begin on a date to be agreed subject to (a) the payment of the Fee and (b) a premium normally consisting in the payment of an amount equal to the Fee. Payment Terms An invoice will be provided to the Client for the Fee on the Effective Date. The Client shall pay to CUTS the amount set out in the invoice together with any applicable taxes including VAT.
