These Terms of Service and any. action related thereto will be governed and interpreted by and under the laws of, and venue will be located in, (i) if required by state law, the state in which Customer is located, or, otherwise (ii) the State of New York, without giving effect to any conflicts of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms of Service.
