Common use of Third Party Information Clause in Contracts

Third Party Information. The Executive recognizes that the Group may have received, and in the future may receive, from third parties their confidential or proprietary information subject to a duty on the Group’s part to maintain the confidentiality of such information and to use it only for certain limited purposes. The Executive agrees that the Executive owns the Group and such third parties, during the Executive’s employment by the Company and thereafter, a duty to hold all such confidential or proprietary information in the strictest confidence and not to disclose it to any person or firm and to use it in a manner consistent with, and for the limited purposes permitted by, the Group’s agreement with such third party.

Third Party Information. The Executive recognizes that the Group may Corporation, the Bank and their Affiliates have received, and in the future may will receive, information from third parties their that the third party considers to be confidential or proprietary information and which is, or may be, subject to a duty on the Group’s part of the Corporation, the Bank or their Affiliates not to maintain the confidentiality of such information disclose to others and to restrict its use it only for certain limited purposes. The Executive agrees that the Executive owns the Group and such third parties, during the Executive’s employment by the Company and thereafter, a duty to hold all such confidential or proprietary information from third parties in the strictest confidence and not to disclose it to any person Person or firm and Entity to use it except as necessary in a manner consistent with, and carrying out Executive’s work for the limited purposes permitted by, Corporation consistent with the Group’s agreement with obligations of the Corporation or Affiliates to such third party.

Notwithstanding the foregoing, Executive may disclose information following receipt of a Court Order requiring disclosure, but only if he first provides the Company with the prompt notice of the Court Order so that it can object and seek to prevent such disclosure.
