TIME AND MATERIALS SERVICES. Contractor agrees to pay Supplier the rates set forth in Exhibit D, less the 1% NJ Procurement Efficiency Program Fee, or as otherwise agreed to, or as Exhibit D may be modified by a rate change, for all Customer-Approved billable hours for staff augmentation services rendered by Supplier during the term of this Agreement or as revised by paragraph 4.1.i.d below. Fees for any renewal of this Agreement shall be as mutually agreed by both parties. TIME AND MATERIALS SERVICES a) On-Site Services. This agreement provides for Errors to be resolved remotely, however the parties may determine that on-site services are required. Upon the reasonable request of Customer, and agreeing to pay for such services on a time and materials basis, ImageSoft may provide on-site Services at Customer’s facilities in connection with the correction of Error(s). All on-site service requests must be made in writing. TIME AND MATERIALS SERVICES. This Section describes the general Tasks and Deliverables to be completed by the Contractor on a time and material basis. A Task or Deliverable will be considered “complete” when all the acceptance criteria set forth in this SOW have been met. All written Deliverables shall be delivered in a format specified by the State. For the Time and Materials Services, Contractor shall complete the work described in Table 1 or in the relevant Task Order, and as scheduled through [weekly] planning meetings. Prior review and authorization of each report by the State’s Project Manager is required to authorize any work by the Named Resource. Contractor shall submit invoices to the state not more frequently than [monthly] for the actual hours worked per week of the Named Resource identified in Table 3 or in the relevant Task Order. Each invoice must include resource names, dates of service, and the hours worked and approved for each date of service. The State will review and approve these invoices based on satisfactory work performance by each Named Resource, satisfactory completion of Tasks listed in Table 1 or in the relevant Task Order, and fulfillment of Metrics of Acceptance in this Agreement. Approved invoices will be payable by the State in accordance with the Authorizing Agreement and applicable payment terms in the Order Document to which this SOW is attached. The State shall withhold 10% from each payment as retainage. Upon completion of all work described in Table 1 in accordance with the prescribed project timeline, and to the satisfaction of the State, Contractor may submit a single invoice for the amount of retainage withheld.

(ii) CWC shall not replace any Employee, who has been designated as a key Employee by GM ("Key Employee") then currently performing Services without GM's consent until the Statement of Work or Purchase Order pursuant to which such Key Employee is providing Services expires or is terminated. Notwithstanding the foregoing, CWC may replace any Key Employee for reasons relating to the Employee's termination with CWC, promotion, illness, death, or causes beyond CWC's control. (iii) GM shall reimburse CWC for the reasonable direct expenses (excluding overhead and fringe benefits) of its Employees incurred in the performance of Services if requested in advance and approved by GM. Expenses related to travel, lodging, and meals shall be reimbursed in accordance with GM's guidelines for its own employees, as set forth in Exhibit 3(b)(iii).
