The closing consummation of the transactions contemplated hereby by this Agreement (the "“Closing"”) will take place shall occur at 9:00 A.M. 10:00 a.m. (prevailing Central Time) on the date that the Effective Time occurs November 9, 2023 or (or the immediately preceding day if the Effective Time is earlier than 9:00 A.M.), “Closing Date”) or at such other time time, manner and place as the Parties agree, or if mutually agreeable among the Parties, acting through their authorized officers, Closing may mutually agreeoccur by an exchange of signature pages by email or by electronic image scan transmission in PDF format. The Parties shall use commercially reasonable efforts to cause the conditions to Closing shall set forth in Sections 6.2 and 6.3 to be held at such location as may be mutually agreed upon by the Partiessatisfied in a timely manner.

Time and Place of Closing. The closing of the transactions contemplated hereby (the "“Closing"”) will take place at 9:00 A.M. 12:00 P.M. Eastern Time on the date that the Effective Time occurs (or the immediately preceding day if the Effective Time is earlier than 9:00 A.M.)occurs, or at such other time as the Parties, acting through their authorized officers, may mutually agree. The Closing shall be held at such location as may be mutually agreed upon by the PartiesParties and may be effected by electronic or other transmission of signature pages, as mutually agreed upon.
