Times for making representations. (a) The representations set out in this Clause 14 are made by the Borrower on the date of this Agreement. (b) Unless a representation is expressed to be given at a specific date, each representation is deemed to be repeated by the Borrower on the date of each Request, the date of each Drawing under a Loan and annually on each anniversary of the first Utilisation Date when the Borrower shall provide to the Facility Agent an Annual Compliance Certificate. (c) When a representation is repeated, it is applied to the circumstances existing at the time of repetition.

Times for making representations. (a) The representations set out in this Deed (including in this Clause) are made on the date of this Deed. (b) Unless a representation is expressed to be given at a specific date, each representation under this Deed is deemed to be repeated by the Master Issuer on the date of each Issue. (c) When a representation is repeated, it is applied to the circumstances existing at the time of repetition.

Times for making representations. (A) The representations set out in this clause 18 (other than the representations in clauses 18.4 (Powers and authority) and 18.5 (Authorisations)) are made by each Obligor on the date of this Agreement. The representation in clause 18.4 (Powers and authority) will be made as at the time that the power or authority is exercised only. Each Repeating Representation is deemed to be repeated by each Obligor on the date of each Utilisation Request, each Utilisation Date and on the first day of each Interest Period. (B) When a representation is repeated, it is applied to the facts and circumstances existing at the time of repetition.

Times for making representations. 9.1.1 The representations set out in this Clause 8 are made by the Borrower on the date of this Agreement. 9.1.2 Unless a representation is expressed to be given at specific dates, each representation is deemed to be repeated by the Borrower on: a. the date of any Drawdown Request; b. each Drawdown Date; and c. the first day of each Interest Period. 9.1.3 When a representation is repeated, it is made by reference to the circumstances existing at the time of repetition.

Times for making representations. (a) The representations set out in this Article III (Representations and Warranties) are made on the date of this Agreement and shall be repeated on the Completion Date, with reference to the facts and circumstances existing as at such time.

Times for making representations. (A) The representations set out in this clause 26 (Representations) (other than the representations in clauses 26.8 (Final Information Memorandum), 26.4 (Powers and authority), 26.5 (Authorisations) and 26.15(B) (Project Agreements)) are made by each Obligor on the date of this Agreement. The representation in clause 26.8 (Final Information Memorandum) will be made on the date of the Final Information Memorandum and the representation in clause 26.4 (Powers and authority) will be made as at the time that the power or authority is exercised only. Each Repeating Representation is deemed to be repeated by each Obligor on the date of each Utilisation Request, each Utilisation Date and on the first day of each Interest Period. (B) When a representation is repeated, it is applied to the facts and circumstances existing at the time of repetition.

Times for making representations. (a) The representations and warranties set out in this Clause are made by the Company on the date of this Agreement and on the date of the Nigeria Guarantee. (b) Each Guarantor shall make the representations and warranties listed in paragraph (b) of Clause 23.1 (Representations): (i) in the case of an Original Facility Guarantor, on the date of this Agreement; (ii) in the case of an Original Nigeria Guarantor, on the date of the Nigeria Guarantee; or (iii) in the case of an Additional Guarantor, on the Guarantor Accession Date applicable to that Additional Guarantor. (c) Each Obligor shall be deemed to repeat the Repeating Representations applicable to it on the date of each Utilisation Request, on each Utilisation Date and on the first day of each Interest Period. (d) The representation and warranty set out in paragraph (b) of Clause 23.14 (Pari Passu Ranking) is deemed to be made at the time a Security Document is entered into. (e) The representations and warranties set out in paragraph (a) of Clause 23.13 (Financial Statements) in respect of each set of audited financial statements delivered pursuant to Clause 24.1 (Financial Statements) shall only be made once in respect of each set of audited financial statements on the date such Financial Statements are delivered. (f) Each representation or warranty deemed to be made after the date of this Agreement shall be deemed to be made by reference to the facts and circumstances existing at the date the representation or warranty is deemed to be made. (b) Unless a representation is expressed to be given at a specific date: (i) each representation is deemed to be repeated by each Additional Borrower on the date that Additional Borrower becomes an Obligor; and Table of Contents (ii) each Repeating Representation is deemed to be made by each Obligor (or if it so states, the Company) on the date of each Request and the first day of each Term. (c) When a representation is repeated, it is applied to the circumstances existing at the time of repetition.

Times for making representations. The representations in this Agreement are made as at the signing date of this Agreement and on each day during the Security Period. When a representation is repeated, it is applied to the facts and circumstances existing at the time of repetition.
