Top-Up Option Sample Clauses
A Top-Up Option clause grants a party, typically an investor or acquirer, the right to purchase additional shares of a company to increase their ownership to a specified threshold, often to facilitate a merger or acquisition. This option usually applies when the party already owns a significant portion of shares and needs to reach a higher percentage, such as 90% or more, to complete a transaction or trigger certain legal rights. The core function of this clause is to ensure that the acquiring party can efficiently achieve the necessary ownership level to effectuate corporate actions, such as a short-form merger, thereby streamlining the acquisition process and reducing potential obstacles from minority shareholders.
