Torturous Conduct Sample Clauses

The "Torturous Conduct" clause defines and prohibits behavior by a party that is intentionally harmful, abusive, or designed to cause distress or injury to another party involved in the agreement. Torturous Conduct. Customer shall not post defamatory, scandalous, or private information about a person, intentionally inflict emotional distress, or violate trademarks, copyrights, or other intellectual property rights.
Torturous Conduct. 17.1. Any way of indecent treatment towards a Atelier Hosting employee will be considered as totally inappropriate and unacceptable. Each Customer is expected to communicate in an utterly polite and professional manner with Atelier Hosting employees regarding any request for help or consultation, or any other reason for contacting our Atelier Hosting team via e-mail, chat, phone or through our Ticket Desk Support System. Each Customer is expected to avoid any form of emotional outburst or inappropriate language, or any other attempt to be undermined the importance of good ethics in communication and human relations. Any act of close nature, or other type of offensive, abusive, disrespectful or condescending behaviour - oral, written, or delivered by a second party - to members of Atelier Hosting customer care stuff will be interpreted as a breach of this TOS. Atelier Hosting reserves the right to assess at its sole discretion which behaviour is to be considered as a violation of the hereby stated rule and agreement, and to undertake according actions, including refuse refunds to users whose accounts have been suspended for violating this TOS provision. back to top
Torturous Conduct. The Customer is required to conduct a professionally mannered communication with Axac Solutions employees regarding any requests for help through e-mail or by phone. The Customer should avoid applying any forms of emotional outburst or cursing. Any attempts of deliberately undermining behavior will be interpreted as a breach of this TOS. Any verbal, oral, written threat by the Customer or delivered by a second party addressed to Axac Solutions or any of its employees, partners, equipment, and concerns will be interpreted as a breach of this TOS. Axac Solutions keeps the right to assess which behaviour will be treated as a breach of this TOS and to give no refunds to the Customer whose account has been suspended or removed for violating the aforementioned rules.

  • Business Conduct Merger Sub was incorporated on November 5, 2020. Since its inception, Merger Sub has not engaged in any activity, other than such actions in connection with (a) its organization and (b) the preparation, negotiation and execution of this Agreement and the Transactions. Merger Sub has no operations, has not generated any revenues and has no assets or liabilities other than those incurred in connection with the foregoing and in association with the Merger as provided in this Agreement.

  • Business Conducted Borrower shall continue in the business currently conducted by it using its best efforts to maintain its customers and goodwill. UCF DHRL reserves the right to establish or adopt additional rules regarding student conduct, as deemed necessary by UCF DHRL. Newly established or adopted rules will be communicated to the Student as provided in this document. The Student agrees to abide by additional rules and regulations that are established or adopted by UCF DHRL once communicated to the Student.

  • ETHICAL CONDUCT Seller's employees shall comply with the BorgWarner Supplier Code of Conduct articulated within the BorgWarner Supplier Manual. Compliance with these standards is a mandatory component of Buyer's purchase contracts worldwide and must also apply to Seller subcontractors. Both, the BorgWarner Supplier Code of Conduct and the BorgWarner Supplier Manual are incorporated by reference as part of the Purchase Order, are binding on the Seller, and Seller explicitly verifies to have read and accepted the BorgWarner Supplier Code of Conduct and the BorgWarner Supplier Manual.
