Common use of Transaction Agents' Management Time Clause in Contracts

Transaction Agents' Management Time. Any amount payable to a Transaction Agent under Clause 15.3 (Indemnity to the Calculation Agent, the Facility Agent and the Security Agent), Clause 17 (Costs and expenses) and Clause 25.18 (Lenders’ indemnity to the Transaction Agents) shall include the cost of utilising the relevant Transaction Agent’s management time or other resources and will be calculated on the basis of such reasonable daily or hourly rates as the relevant Transaction Agent may notify to the Borrower and the Lenders, and is in addition to any fee paid or payable to the Transaction Agents under Clause 12 (Fees).
