TRANSACTIONS EXPENSES. Each of the parties to this Agreement will bear all costs and expenses incurred by such party in negotiating and preparing the Agreement and in Closing and carrying out the transactions contemplated by the Agreement. All costs and expenses related to satisfying any condition or fulfilling any covenant contain in this Agreement will be borne by the party whose responsibility it is to satisfy the outstanding condition or fulfill the covenant in question.
TRANSACTIONS EXPENSES. The Borrower shall pay to the Lender upon demand all reasonable out-of-pocket expenses incurred by the Lender in connection with the transactions contemplated by this Agreement including, but not limited to, the Lender's reasonable attorneys' fees incurred in preparing the Borrower Documents and any and all costs and fees incurred in connection with the recording or filing of any documents or instruments in any public office, pursuant to or as a consequence of this Agreement, or to perfect or protect any security for the Revolving Credit Loans. The Borrower shall also pay to the Lender upon demand all reasonable out-of-pocket expenses incurred from time to time in the administration of the Revolving Credit Loan, including, without limitation, any reasonable out-of-pocket expenses (including, but not limited to, attorneys fees) incurred by the Lender if any of the Borrower Documents should be amended, extended and/or renewed from time to time.
TRANSACTIONS EXPENSES. The Borrower shall pay to the Lender $5,000.00 for the Lender's attorneys' fees incurred in preparing the Borrower Documents and shall pay up to $500.00 for other out-of-pocket expenses and any and all costs and fees incurred by Lender in connection with the initial recording or filing of any documents or instruments in any public office, pursuant to or as a consequence of this Agreement, or to initially perfect or protect any security for the Draw Facility and/or the Revolving Credit. The Borrower shall also pay to the Lender upon demand all reasonable out-of-pocket expenses subsequently incurred from time to time in the administration of the Revolving Credit and the Draw Facility, including, without limitation, any out-of-pocket expenses (including, but not limited to, reasonable attorneys' fees), filing fees, recording fees or other costs incurred by the Lender if any of the Borrower Documents should be amended, extended and/or renewed from time to time.
TRANSACTIONS EXPENSES. Unless the Primary Transaction Agreements are terminated by Ben NV pursuant to Section 8.1(c), (a) at Closing, the Ben Parties shall pay or cause to be paid to Seller an amount in cash equal to the Transaction Expenses in accordance with Section 4.3(a), and the amount of Transaction Expenses so paid together shall be considered capital contributions by the Custody Trust (or other Ben NV Affiliate) to the Buyer; or (b) upon termination of the Primary Transaction Agreements for any reason other than pursuant to Section 8.1(c), the Ben Parties shall pay or cause to be paid to Seller an amount equal to the Transaction Expenses by wire transfer in immediately available funds to an account designated by Seller.
TRANSACTIONS EXPENSES. 5.1 Xanthic will bear all costs and expenses incurred by the Parties in negotiating and preparing the Agreement and in Closing and carrying out the transactions contemplated by the Agreement. 5.2 The parties acknowledge that Xanthic may at closing still have some costs owing to its professionals and advisors and, subject to the prior written approval of Aurquest, the Resulting Issuer shall be responsible to pay those costs at or after Closing. 5.3 The parties acknowledge that Aurquest may at closing still have liabilities remaining of approximately $50,000 in accounts payables and the Resulting Issuer shall be responsible to pay those costs at or after Closing.
TRANSACTIONS EXPENSES. The Company shall promptly on demand pay the Agent and the Arranger the amount of all costs and expenses (including pre-agreed legal fees) reasonably incurred by any of them in connection with the negotiation, preparation and execution of this Agreement and any other New Finance Document.

  • Buyer’s Expenses Buyer agrees to pay all expenses incident to any purchase money loan (e.g. Loan commitment fees, preparation of note, mortgage, and other loan documents, recording fees, prepaid interest and credit reports) and any fees for endorsements to the Title Policy requested by Buyer. The insured closing fee, and the disclosure of sales information form will be split equally between Seller and Buyer.

  • Costs, Expenses and Fees Clause 10.11 (Transaction Costs) of the Amended Facility Agreement applies to this Agreement as if it were expressly incorporated in it with any necessary modifications.

  • Costs, Expenses Each party hereto shall bear its own costs in connection with the preparation, execution and delivery of this Agreement.

  • Seller’s Expenses Seller agrees to pay all costs of releasing loans and recording the releases, preparation fees for the Deed. The insured closing fee and the disclosure of sales information form will be split equally between Seller and Buyer.

  • Brokers; Expenses No broker, investment banker, financial advisor or other Person (other than the Company Financial Advisor), is entitled to receive any broker’s, finder’s, financial advisor’s or other similar fee or commission in connection with this Agreement, the Merger or the other Transactions based upon arrangements made by or on behalf of the Company or any of its Subsidiaries.
