Transactions with Certain Persons. Except as set forth Schedule 3.20, no shareholder, officer or director of Company or any Affiliate of any such Person has had, either directly or indirectly, a material interest in: (a) any Person or entity which purchases from or sells, licenses or furnishes to Company any goods, property, services, technology, intellectual or other property rights or (b) any Contract to which Company is a party or by which it may be bound or affected.

Transactions with Certain Persons. Except as set forth Schedule 3.20No officer, no shareholderdirector or 10% or greater Stockholder of the Company or, officer or director to the Knowledge of Company or the Company, any Affiliate of any such Person person has or has had, either directly or indirectly, a material interest in: (a) any Person person or entity which purchases from or sells, licenses or furnishes to the Company any goods, property, services, technology, intellectual or other property rights or (b) any Contract contract or agreement to which the Company is a party or by which it may be bound or affected.

Except as set forth Schedule 3.204.21, no shareholder, Shareholder and no officer or director of Company any of the Companies or any Affiliate of any such Person person has had, either directly or indirectly, a material interest in: (a) any Person person or entity which purchases from or sells, licenses or furnishes to Company any of the Companies any goods, property, services, technology, intellectual or other property rights or (b) any Contract contract or agreement to which Company any of the Companies is a party or by which it may be bound or affected.

Except as set forth Schedule 3.204.21, neither the Shareholder nor, to the Knowledge of the Company, no shareholder, shareholder (other than the Shareholder) officer or director of the Company or any Affiliate of any such Person person has had, either directly or indirectly, a material interest in: (a) any Person person or entity which purchases from or sells, licenses or furnishes to the Company any goods, property, services, technology, intellectual or other property rights or (b) any Contract contract or agreement to which the Company is a party or by which it may be bound or affected.
