Common use of Transfer of Interests Clause in Contracts

Transfer of Interests. Assignor hereby sells, assigns, transfers and delivers unto Assignee (a) all of Assignor’s right, title and interest in and to the Membership Interests and (b) all of Assignor’s rights under the limited liability company or operating agreement of the Company.

Assignor hereby sells, assigns, transfers and delivers unto Assignee (a) all of Assignor’s right, title and interest in and to the Membership Interests Interests, free and clear of all Liens or other limitations whatsoever (b) all of Assignor’s rights under the limited liability company or operating agreement other than any restrictions on transfer of the CompanyMembership Interests under any Applicable Law, the Organizational Documents of Seller or the Acquired Companies, or in accordance with this Agreement, the Buyer Ancillary Agreements or the Seller Ancillary Agreements).

Assignor hereby sells, assigns, transfers transfers, conveys and delivers unto Assignee Assignee, effective as of the Closing, (a) all of Assignor’s right, title and interest in and to the Membership Interests Interests, and (b) all of Assignor’s rights rights, obligations and liabilities under the limited liability company or operating agreement of each Assigned Company (each as amended, restated, supplemented and/or otherwise modified from time to time, collectively, the Company“LLC Agreements”).
