Common use of Transition Planning Clause in Contracts

Transition Planning. Service Recipient shall, as soon as reasonably practicable following the Effective Date, and in any event no later than [•], provide in writing to Service Provider a draft transition plan with respect to transfer or termination of the Services (the “Transition Plan”), which Transition Plan shall describe Service Recipient’s proposed transition activities and any transition assistance Service Recipient requests from Service Provider in connection with such transfer or termination. Service Provider will review and comment on the Transition Plan and the Parties shall reasonably cooperate with each other to create a final Transition Plan. The Transition Plan shall provide for a completion date that is no later than the last date of the Agreement Term. Without limiting the obligations of the Service Provider under an applicable Service Schedule, the Service Provider shall reasonably cooperate with and offer such commercially reasonable assistance to the Service Recipient at Service Recipient’s cost as set forth therefor in the Service Schedule (or if not set forth in the Service Schedule, then at Service Recipient’s cost), as is necessary to implement the Service Recipient’s final Transition Plan and the transfer of responsibility for the provision of the Services to Service Recipient or a new provider.
