UCC Amendments Clause Samples
The UCC Amendments clause establishes the parties’ agreement regarding how changes to the Uniform Commercial Code (UCC) will affect their contract. Typically, this clause specifies whether future amendments to the UCC will automatically apply to the agreement or if only the version in effect at the time of signing governs the parties’ rights and obligations. For example, if the UCC is updated after the contract is executed, this clause clarifies whether those updates impact the contract’s terms. Its core function is to provide certainty and prevent disputes by clearly defining which version of the UCC controls the contractual relationship.
UCC Amendments. McKesson shall have filed amendments of its UCC financing statements to reflect the name change of Accentia from “Accentia, Inc.” to “Accentia Biopharmaceuticals, Inc.” and McKesson shall be satisfied that there have been no intervening liens filed since the name change which would impact McKesson’s relative lien priority vis-à-vis creditors to which McKesson agreed to subordinate its lien position.
UCC Amendments. Delivery of UCC-1 Financing Statements and/or UCC-3 Financing Statement Amendments in proper form for recording or filing in the appropriate jurisdictions as determined by ▇▇▇▇▇▇.
UCC Amendments. The uniform commercial code registrations referred to in Section 3.1(o) of the Disclosure Letter as needing to be discharged and terminated or otherwise amended in Section 3.1(o) of the Disclosure Letter shall have been so discharged and terminated or otherwise amended.
