Common use of Unauthorized Modifications Clause in Contracts

Unauthorized Modifications. In the event Licensor determines that the problem reported by Lilly is directly related to unauthorized alterations of the Product by Lilly or the performance of a third party, then Licensor may charge for employee time expended at the current time and material rates agreed upon less discount in addition to reasonable out-of-pocket expenses; or at Lilly's option; Licensor shall be released from maintenance obligations for the modified portion of the Product.
