Underlying Contract. “Underlying Contract” shall mean the agreement between Covered Entity and Business Associate for _________ (summarize contract subject, ie, for specified record management services), designated as Contract (####).
Underlying Contract. CenturyLink and Granite School District, on behalf of itself and certain other Utah school districts (“Eligible School Districts” or individually a “Customer”, for purposes of the Contract), have entered into Contract #15-008, on or about April 9, 2015, including its Exhibits and Attachments (hereinafter the “Underlying Contract”). The Underlying Contract provides for certain telecommunications services, equipment, or both (“Service”) by CenturyLink. The Underlying Contract provides Granite School District and each of the school districts the option to order Service under the terms of the Underlying Contract by executing a Purchase Addendum.
Underlying Contract. Business Associate may use or disclose PHI to perform functions, activities or services for, or on behalf of, Covered Entity as specified in the Underlying Contract. Except as permitted under Sections 3(b), (c), (d) and (e) of this BA Agreement, Business associate may not use or disclose PHI in a manner that would violate the Privacy Rule if done by Covered Entity.
Underlying Contract. County acknowledges that Developer does not presently own the Property, but that Developer has entered into the Underlying Contract, by which Developer has the contractual right to acquire the Property from the Current Owner. Therefore, the obligations of County and Developer to be performed pursuant to this Agreement are subject to Developer’s acquisition of the Property pursuant to, and under the terms of the Underlying Contract. Developer warrants and represents that (i) Developer has the authority, capacity and ability to perform its obligations under the Underlying Contract, and neither Developer nor the Current Owner are in default under the Underlying Contract; and (ii) County has the right to enter the Property to conduct due diligence investigations upon reasonable notice to Developer. Developer shall perform all of Developer’s obligations under the Underlying Contract and shall diligently pursue the acquisition of the Property thereunder.
Underlying Contract. Town acknowledges ACRE is party to an agreement with the current property owner to purchase the ACRE Tract (the “Underlying Contract”). If the Underlying Contract is terminated, for any reason or no reason, then this Agreement shall automatically terminate without liability to ACRE, any funds paid to the Town hereunder shall be refunded, and the parties shall have no further rights or obligations under this Agreement. If the Underlying Contract is terminated, ACRE shall provide the Town with written notice no later than ten (10) days following such termination.

  • MASTER CONTRACT This Master Contract is entered into this 1st day of July, 2014, between Westlake Charter Schools (hereinafter referred to as “LEA”) and CARE Educational Services (hereinafter referred to as “CONTRACTOR”) for the purpose of providing special education and/or related services to LEA students with exceptional needs under the authorization of California Education Code sections 56157, 56361 and 56365 et seq. and Title 5 of the California Code of Regulations section 3000 et seq., AB490 (Chapter 862, Statutes of 2003) and AB1858 (Chapter 914, Statutes of 2004). It is understood that this agreement does not commit LEA to pay for special education and/or related services provided to any LEA student, or CONTRACTOR to provide such special education and/or related services, unless and until an authorized LEA representative approves the provision of special education and/or related services by CONTRACTOR. Upon acceptance of a LEA student, CONTRACTOR shall submit to LEA an Individual Services Agreement (hereinafter referred to as “ISA”) and a Nonpublic Services Student Enrollment form as specified in the LEA Procedures. Unless otherwise agreed in writing, these forms shall acknowledge CONTRACTOR’s obligation to provide all services specified in the student’s Individualized Education Plan (hereinafter referred to as “IEP”). The ISA shall be executed within ninety (90) days of an LEA student’s enrollment. ▇▇▇ and CONTRACTOR shall enter into an ISA for each LEA student served by CONTRACTOR. As available and appropriate, the LEA shall make available access to any electronic IEP system and /or electronic data base for ISA developing including invoicing. Unless placement is made pursuant to an Office of Administrative Hearings (hereinafter referred to as “OAH”) order, a lawfully executed agreement between LEA and parent or authorized by ▇▇▇ for a transfer student pursuant to California Education Code section 56325, ▇▇▇ is not responsible for the costs associated with nonpublic agency placement until the date on which an IEP team meeting is convened, the IEP team determines that a nonpublic agency placement is appropriate, and the IEP is signed by the LEA student’s parent.
